ACE EDUTREND LIMITED HELD ON TUESDAY, 25TH AUGUST, 2026 AT 01:00 P.M. AT MAHARAJA
BANQUET AT A-1/20A, PASCHIM VIHAR (OPPOSITE METRO PILLAR NO. 256), MAIN ROHTAK

The 32nd Annual General Meeting (AGM) of the members of ACE Edutrend Limited (the Company”)
was held on Tuesday, 25th August, 2026 at 01:00 P.M. at Maharaja Banquet at A-1/20A, Paschim
Vihar (Opposite Metro Pillar No. 256), Main Rohtak Road, New Delhi 110063.
Mr. Pranshu Poddar elected as the Chairman, chaired the proceedings of the meeting. The requisite
quorum being present, the Chairman called the meeting to order.
The Directors and the Secretarial Auditor attending the meeting introduced themselves.
The Chairman & Directors greeted the members attending the AGM.
The Chairman delivered the speech and informed the shareholders present that the notices
convening the meeting, and Annual Accounts and Directors’ Report for the year 2025-2026 were
taken as read.
The Chairman informed that the Company had provided the remote E-voting facility to the members
through the platform provided by National Securities Depositories Limited. The remote e-voting
period commenced on 09:00 A.M. on 22nd August, 2026 and ended on 24th August, 2026 at 05:00 P.M.
CA Siva Nishad, Partner of M/s Krishan Rakesh & Co., Chartered Accountants, (Membership No: A
560019 and FRN: 009088N) were appointed as the Scrutinizer to report on the combined voting
results of remote e-voting at the AGM for each of the items as per the notice of the AGM.
The Chairman suggested that in order to provide an opportunity to the shareholders who could not
exercise the e-voting, those can cast their votes by way of poll at the venue. It was informed that upon
completion of voting by physical ballot the Scrutinizer will count the votes and sign and submit the
result to the Chairman by adding the physical votes to the electronically casted votes “in
favour/against” of each resolution within 2 working days form the conclusion of the meeting.

Thereafter, the poll was conducted which included distribution of the ballot papers, showing empty
ballot box to the members and locking the ballot box in the presence of the members.
The Chairman explained the objective and implications of each resolution and requested the
Members to ask questions or seek clarifications or express their views on the agenda items.
Thereafter put the resolutions to vote at the meeting.
The following items of business as set out in the Notice convening 32nd Annual General Meeting
(AGM) were transacted as follows:
ORDINARY BUSINESS: -
1. To receive, consider and adopt the Audited Financial Statements of the Company for the
Financial Year ended March 31, 2026 along with the reports of Independent Auditors and
Directors thereon. (Ordinary Resolution).
SPECIAL BUSINESS: -
2. To consider regularization of Additional Director (Non-Executive, Independent) Mrs. Payal
Sharma (DIN: 07190616) by appointing her as Non-Executive, Independent Director of the
Company. (Special Resolution).
3. To consider regularization of Additional Director (Non-Executive, Independent) Mr. Pranshu
Poddar (DIN: 09203812) by appointing him as Non-Executive, Independent Director of the
Company. (Special Resolution).
4. To increase in Authorized share capital and alteration of capital clause of the memorandum of
association of the Company. (Ordinary Resolution).
5. Approval for Right issuance of equity share to existing shareholders through right issue
mechanism. (Special Resolution).
After ensuring that all members who participated in the voting through polling paper had casted
their votes, the scrutinizer closed the poll. The scrutinizer then took the custody of the polling box.
The Chairman of the meeting informed the members that as per the provisions of section 145 of the
Companies Act, 2013 and Secretarial Standard- 2 issued by Institute of Companies Secretaries of
India, the auditor’s report has to be read only in case there is any qualification or adverse remark in
the auditor’s report. Since there are no such qualification or adverse remarks in the Statutory
auditor’s report, the same was not required to be read.
There is no qualification in the Secretarial Auditor’s Report.

Members who attended the Meeting were given an opportunity to ask questions and seek
clarification(s).
The Chairman informed that results of remote e voting would be declared within two working days
from the conclusion of this meeting i.e. on or before August 27th, 2026. The voting result will be
submitted to the stock exchanges and also will be uploaded on the website of the company.
Mr. Pranshu Poddar, Chairman granted vote of thanks to shareholder and concluded the meeting.
The meeting was concluded at 01: 40 P.M. The voting results along with the scrutinizer’s report of
the above said businesses will be disclosed in due course of time.
