Subject: Intimation of Amendments to the Memorandum of Association of the Company,
in brief.
Ref: Regulation 30 read with Para A of Part A of Schedule III of SEBI (Listing
Obligations and Disclosure Requirements) Regulations,2015.
Dear Sir,
In continuation of the outcome of the Board Meeting dated July 24, 2026, we wish to inform
you that, pursuant to Regulation 30 read with Part A of Schedule III of the SEBI (Listing
Obligations and Disclosure Requirements) Regulations, 2015, the shareholders of the
Company, at the First Extra-Ordinary General Meeting (EGM) for the Financial Year 2026-
27, held on, Saturday, August 22, 2026, have, inter alia, approved the following matters
1. Change in Name and Alteration of Name Clause of MOA:
The members approved the change of the name of the Company from “Pankaj
Polymers Limited” to "Rupia Tech Limited" or "Rupia Fin Limited" or “Rupia Fintech
Limited", or such other name, as approved by the Ministry of Corporate Affairs.
Consequently, the Name Clause (Clause I) of the Memorandum of Association of the
Company stands altered to reflect the new name, subject to the final issuance of the
Fresh Certificate of Incorporation by the Ministry of Corporate Affairs.
2. Shifting of Registered Office from the “State of Telangana” to the “National
Capital Territory of Delhi” and Consequent Alteration of the Memorandum of
Association of the Company:
The members approved the shifting of the registered office [Clause II of the
Memorandum of Association] of the Company, from the “State of Telangana” to the
“National Capital Territory of Delhi”, thereby changing the Jurisdiction of Registrar
of Companies, Hyderabad to National Capital Territory (NCT) of Delhi.
Consequently, Clause II (Registered Office Clause) of the Memorandum of Association
of the Company shall stand altered accordingly, subject to receipt of confirmation order
from Regional Director.
3. Alteration of the Object Clause (Clause III) of the Memorandum of Association
(MOA):
The Members have approved the Alteration of the Object Clause (Clause III) of the
Memorandum of Association, in complete substitution of the existing Object Clause of
the Company, to expand and diversify the scope of business activities, in line with the
Company's future strategic growth plans.
As required under Regulation 30 read with Para A of Part A of Schedule III of the SEBI
(Listing Obligations and Disclosure Requirements) Regulations, 2015, the brief details
of the amendment to the Memorandum of Association regarding the Object Clause are
enclosed herewith as Annexure-I.

Annexure-I
The change and adoption of the following objects under Clause 3(A) of the Object Clause of
the Memorandum of Association as –
A. The existing Objects to be followed by Company under Clause 3(A) be altered by
replacing the same with the following new Clause 3(A) as under:
1. To provide, promote, develop, establish, maintain, operate and carry on the business of all
types of electronic and virtual payment systems and services, e-wallets, mobile-wallets,
cash cards, payment gateway services, and prepaid and postpaid payment instruments,
including open, closed and semi-closed system payment instruments, in India and abroad.
2. To provide services, management and consultancy in the field of prepaid and postpaid
payment instruments, electronic and virtual payment systems and transaction processing,
and to act as dealers, distributors, agents or representatives of Indian and foreign concerns
operating in the line of payment system services and allied activities.
3. To operate as a bill payment gateway / bill payment system service provider, including as
a Bharat Bill Payment Operating Unit (BBPOU) under the Bharat Bill Payment System
(BBPS) guidelines, for utility bills, fees, taxes and other services as may be notified by the
relevant authority from time to time.
4. To carry on the business of digital and physical gifting, reward management and e-
commerce solutions, including the creation, purchase, sale, distribution and redemption of
gift cards, vouchers and rewards, and the design and implementation of loyalty, incentive
and recognition programmes, together with allied marketing, data analytics, technology
and customer-engagement services in India and abroad.
5. To develop, license, host and maintain software platforms, APIs, mobile applications and
technology infrastructure to enable digital rewards, e-gifting, loyalty systems, voucher
issuance, redemption tracking and campaign management, and to act as reseller, distributor
or agent of physical and digital vouchers and loyalty points on behalf of third parties.
6. To carry on the business of a Payment Aggregator and to provide payment processing,
collection and settlement services to merchants and customers by integrating multiple
payment instruments and channels, including cards, prepaid instruments, Unified
Payments Interface (UPI), net banking and wallets; to acquire and onboard merchants; to
facilitate authorisation, processing and settlement of transactions; and to provide related
technology, compliance and risk-management solutions.
7. To carry on the business of developing and providing services in the field of electronic
commerce, web-based and related technologies and applications, and to deal in all kinds
of internet / intranet / extranet business, e-commerce applications, data processing and
allied information-technology services.
8. To carry on the business of marketing and sales representatives in the electronic media
and consultancy of Electronic Commerce and other products and services including
Internet, E-Mail, Enhanced Fax Service, Electronic Data Interchange, Web publishing,
Web/Portal hosting, Web Solutions.
9. To develop, build, store, host and promote portals, websites and other interactive
multimedia products, E-commerce applications and services, whether digital or otherwise
and market or distribute them on the internet or other distribution platforms.
10. To develop or acquire and own intellectual property and in particular to act as copyright
owners, internet site or portal owners, video right owners, cable right owners, dubbing
rights owners and other studio owners of all kinds of data, educational radio programmes,
television programmes, videos, advertising, films and documentary in all formats and
languages prevailing in the world.
11. To carry on the business of computer and information technology of all kinds of
development of computer software, hardware, data processing and providing consultancy
services, technical assistance in the field of information technology.
12. To carry on the business of provider and syndicator of electronic contents for websites
provider of value added internet service, to act as consultants in internet related services
and as Integration Company.
13. a. To carry on the business of distribution of all types of loan products, provide information
on credit worthiness, screening borrowers, underwriting borrowings, lending and
guarantying recovery of loan.
b. To carry on the business of soliciting or procuring insurance business as an insurance
intermediary.
c. To render services as brokers, commission agents, to carry on the business of retail and
institutional distribution of the schemes of the Mutual Funds or any other financial
products issued by Banks, Mutual Funds or any other financial intermediary.
