To consider and adopt the Audited Financial Statements of the Company for the financial year ended 31st March, 2026 together with the Reports of the Board of Directors and the Auditors thereon. 2. To appoint a Director in place of Mrs. Lalitha Cheripalli (DIN: 07026989), who retires by rotation and, being eligible, offers herself for re-appointment. Ministry of Corporate Affairs (MCA) vide its General Circular no. 03/2025 dated September 22, 2025 read with circulars no. 14/2020, 17/2020 and 20/2020 dated April 8, 2020, April 13, 2020, and May 5, 2020 respectively (collectively, the “said Circulars”), allowed companies to hold shareholders meeting through video conferencing or other audio-visual means (“VC”) dispensing requirement of physical presence of members at a common venue, and other related matters with respect to such meetings. Accordingly, the 46th Annual General Meeting (“this AGM”) of the members of the Company is held through VC in compliance with the provisions of the said Circulars, and consequently no attendance slip is enclosed with this notice. 2. A MEMBER ENTITLED TO ATTEND AND VOTE IS ENTITLED TO APPOINT ONE OR MORE PROXIES, TO ATTEND AND VOTE INSTEAD OF HIMSELF, AND THAT A PROXY NEED NOT BE A MEMBER. However, since this AGM is held through VC, the facility of appointment of proxies is not available for this AGM, in terms of the said Circulars. Accordingly, no proxy form is enclosed with this notice. However, representatives of members under Section 113 of the Companies Act, 2013 (‘the Act’) can be appointed to participate and vote at this AGM. 3. Corporate Members are requested to send a scanned copy (in PDF/JPG format) of the Board Resolution authorizing their representatives to attend the AGM, pursuant to Section 113 of the Act, through e-mail at cosec@sw1india.com with copy marked to rnt.helpdesk@inmpms.mufg.com 4. In case of joint holders, the Member whose name appears as the first holder in the order of names as per the Register of Members of the Company will be entitled to vote at the AGM. 5. The attendance of the Members attending this AGM through VC will be counted for the purpose of ascertaining the quorum under Section 103 of the Act. 6. Registers maintained under Section 170 and 189 of the Act shall be made electronically available for inspection of members at the Registered Office of the Company. The physical copies of notice of 46th AGM and the Annual Report 2025-26 shall be open for inspection at the Registered Office of the Company during business hours on any working day up to the date of the Annual General Meeting. 7. Pursuant to Section 108 of the Act read with Rule 20 of the Companies (Management and Administration) Rules, 2014, as amended, Regulation 44(1) of the SEBI Listing Regulations read with SEBI Circular No. SEBI/ HO/CFD/CMD/CIR/P/2020/242 dated December 9, 2020, Secretarial Standard 2, and the said Circulars, the Resolutions for consideration at this AGM will be transacted through the remote e-voting (facility to cast vote prior to the AGM) and also e-voting during the AGM, for which the Board of Directors of the Company (‘the Board’) have engaged the services of National Securities Depository Limited (‘NSDL’). 8. The Board has appointed Mr. Veeraraghavan N., Company Secretary in Practice (COP No. 4334) as the Scrutinizer to scrutinize the e-voting process in a fair and transparent manner. 9. The Scrutinizer will submit his report to the Chairman of the AGM or to any person authorized by him after completion of the scrutiny and the results of voting will be announced after the AGM of the Company. Subject to receipt of requisite number of votes, the resolutions shall be deemed to be passed on the date of the AGM. 10. The Results declared, along with the Scrutinizer’s Report, shall be placed on the Company’s website at http://www.sw1india.com/ and on the website of NSDL at http://www.evoting.nsdl.com, immediately after the declaration of the result by the Chairperson or a person authorized by him in writing. The results shall also be immediately forwarded to the Stock Exchange where the Company’s Equity Shares are listed i.e. BSE Limited and be made available on its respective website viz. http://www.bseindia.com. The Result will also be displayed at the Registered Office of the Company. 11. Unclaimed Dividend: Pursuant to the provisions of Section 124 and 125 of the Act read with the Investor Education and Protection Fund Authority (Accounting, Audit, Transfer and Refund) Rules, 2016, as amended, all the shares on which dividends remain unpaid or unclaimed for a period of seven consecutive years or more shall be transferred to the demat account of the IEPF Authority as notified by the Ministry of Corporate Affairs. In view of this, Members/Claimants are requested to claim their dividends from the Company, within the stipulated timeline. The details of unclaimed dividend to be transferred to IEPF is available on the website of the Company at http://www.sw1india.com/. The Members, whose unclaimed dividend/shares have been transferred to IEPF, may claim the same by making an application to the IEPF Authority, in Form No. IEPF-5 available on www.iepf.gov.in. The Members/Claimants can file only one consolidated claim in a financial year as per the IEPF Rules. 12.
