Sub: Report of Scrutinizer on remote e-Voting and e-Voting conducted at the 35t
Annual General Meeting of Equity shareholders of Ashram Online.Com Limited held
through video conferencing ('VC') and other Audio-Visual Means on Tuesday, August
25,2026.
At the meeting of the Board of Directors of Ashram Online.Com Limited ("the Company")
held on July 31, 2026, M/s. Lakshmmi Subramanian & Associates, (FRN-P2024TN103000)
Practicing Company Secretaries, Chennai, was appointed as the Scrutinizer pursuant to
Section 108 of the Companies Act, 2013 read with Rule 20 of the Companies (Management
and Administration) Rules, 2014 and Regulation 44 of the SEBI (Listing Obligations and
Disclosure Requirements) Regulations, 2015 for the process of scrutinizing the remote e-
Voting and e-Voting process during the 35t Annual General Meeting ("Meeting"/"AGM") of
the Company in respect oft he resolutions set forth in the Notice for conducting the AGM in
a fair and transparent manner.
In accordance with the General Circulars No. 14/2020 dated April 8, 2020 and MCA Circular
No. 17/2020 dated April 13, 2020, MCA Circular No. 20/2021 dated May 05, 2020, Circular
No. 02/2021 dated January 13, 2021, General Circular No. 21/2021 dated 14.12.2021 and
Circular No. 2/2022 dated 5th May 2022 and Circular No. 10/2022 dated 28th December
2022, No.09/2023 dated September 25, 2023, September 19, 2024 and September 22, 2025
issued by the Ministry of Corporate Affairs ("MCA") (hereinafter collectively referred to as
"MCA Circulars"), the Government of India has permitted Companies to conduct the Annual
General Meeting through Video-Conferencing/Other audio-visual means ("VC/0OAVM").
Accordingly, the 35t" AGM was convened on Tuesday, August 25, 2026 at 11:00 A.M (IST)
through VC/OAVM for passing of the following items as envisaged in the Notice convening
the meeting of the Company, as Ordinary Resolutions or Special Resolutions by the members
of the Company.
Ordinary Businesses:
(a) To consider and adopt the audited Balance Sheet & Profit and Loss account oft he
company for the financial year ended 31st March 2026 and the reports of the Board of
Directors (the Board) and Auditors thereon.

(b) To Appoint a director in place of Mrs. Sangita Tatia (DIN: 06932448) who retires by
rotation and being eligible offers herselfa re-appointment.
Special Businesses:
(c) Appointment of Mr. Bharat Jain Tatia (DIN-00800056) as a Non-Independent, Non-
Executive Director of the Company, liable to retire by rotation (Ordinary resolution)
(d) Appointment of Mr. Madhavan Ganesan (DIN-09250313) as an Independent Director of
the Company (Special resolution)
(e) Appointment of Mr. Sriram Karpakavenkatraman (DIN-11856613) as an Independent
Director of the Company (Special resolution)
(f) Approval of Material Related Party Transaction(s) involving borrowing from / lending to
Related Parties and payment of lease rentals (Ordinary resolution)
The Company has availed the e-Voting facility from M/s. Purva Sharegistry (India) Private
Limited, the authorized agency, for the equity shareholders to cast their vote through e-
Voting including remote e-Voting during the AGM on the resolutions.
The e-Voting process was accordingly conducted and concluded as below:
* The Company had dispatched the Notice for conducting this 35 AGM as envisaged
under Section 96 of the Companies Act, 2013 and Regulation 36 of SEBI (Listing
Obligations and Disclosure Requirements) Regulations, 2015 through e-mail on August
03, 2026 to the members of the Company whose e-mail ids were registered with the
Company/ Depositories.
* Inaddition to the above, the Company had also made available the Notice of the 35th
AGM on the website of the Company viz., www.ashramonline.in and on the website of the
stock exchange viz., https://www.bseindia.com/
* All the equity shareholders of the Company as on the "cut-off date” whose names
appeared on the Register of Members/List of Beneficiaries as on Tuesday, August 18,
2026 were entitled to e-Vote including remote e-Voting on the resolutions set out in the
Notice of the 35th AGM.
* The remote e-Voting period commenced on Saturday, August 22, 2026 at 09:00 A.M
(IST) and concluded on Monday, August 24, 2026 at 05:00 P.M (IST). The e-Voting during
the 35" AGM commenced on Tuesday, August 25, 2026 at 11:00 A.M (IST) till 11:42 AM.
« Allelectronic votes received during the aforesaid time period were considered for my
scrutiny to arrive at this Scrutinizer's report.
e The votes casted under e-Voting including remote e-Voting were considered and
thereafter unblocked and downloaded from the portal of Purva Sharegistry (India)
Private Limited. The same was witnessed by two witnesses, who are not in employment
of the Company either directly/indirectly.

¢ A register containing the details of assent or dissent, received, mentioning the
particulars of name, address, folio number / client ID of the shareholders, the number of
shares held by them, the nominal value of shares held etc,, is maintained in electronic
form.
Based on the data, reports and statements collected as mentioned above, the scrutiny was
completed and results were compiled as under.
