HEG Demerger to Take Effect from September 1, 2026; Record Date Fixed for September 7
Changes in leadership pursuant to the Scheme becoming effective from September 1, 2026
·Mr. Ravi Jhunjhunwala will continue to lead HEG Graphite Limited (Resultant Company pursuant to
scheme) as Chairman, MD & CEO, and will continue to be on the board of HEG Limited (Proposed
Name changed to HEG Advanced Materials Ltd.) in a non-executive capacity
·Mr. Riju Jhunjhunwala elevated to the positions of Chairman, MD & CEO of HEG Limited (proposed
name changed to HEG Advanced Materials Limited)
August 25, 2026: HEG Limited (“HEG” or “the Company”), a leading global manufacturer of graphite electrodes
and part of the LNJ Bhilwara Group, has cleared the final operative steps of its Composite Scheme of
Arrangement (“Scheme”), which will result in the creation of two strong independent listed entities.
The Board has approved Tuesday, September 1, 2026, as the Effective Date and Monday, September 7, 2026,
as the Record Date for shareholder entitlement. It also approved the leadership mandates and the board
composition through which the two companies will operate once the Scheme takes effect.
Under the demerger, shareholders of HEG as on the Record Date will receive one fully paid-up equity share of
face value ₹2 in the resulting company for every one equity share of face value ₹2 held in HEG, a 1:1 entitlement.
As part of the same Scheme, Bhilwara Energy Limited will be amalgamated into HEG, with HEG issuing eight
equity shares of face value ₹2 for every seven equity shares of face value ₹10 held in Bhilwara Energy Limited.
On the Scheme taking effect:
·The Company’s graphite electrodes business will move into the resulting company, HEG Graphite Limited, which
is proposed to be renamed HEG Limited and taken forward as a separately listed, pure-play graphite electrodes
company.
·The existing listed entity (BSE: 509631, NSE: HEG) will retain the advanced materials, battery energy solutions
and green power businesses and is proposed to be renamed HEG Advanced Materials Limited.
Both name changes are subject to the approval of the Registrar of Companies and other statutory authorities.
Pursuant to the scheme, Mr. Ravi Jhunjhunwala will lead HEG Graphite Limited as Chairman, Managing
Director and Chief Executive Officer with effect from September 1, 2026. He will also continue on the
board of HEG Advanced Materials Ltd.[1]

Similarly, Mr. Riju Jhunjhunwala has been elevated to the positions of Chairman, Managing Director,
and Chief Executive Officer of HEG Advanced Materials Ltd.[2] for a five-year term, subject to
shareholder approval.
These board and leadership changes are entirely a function of putting the new two-company structure in place
and take effect only from the Effective Date i.e September 1, 2026. As part of the demerger, directors and key
personnel associated with the graphite business will move with it to the resulting company, and the Board of
the advanced materials company is being reconstituted to align with the go-forward structure. The changes are
procedural in nature and are not connected to the performance or operations of either business.

Appointment of Independent Directors on the board of HEG Advanced Materials
The Board of HEG Advanced Materials Limited[3] has also been strengthened with the appointment of five
Additional Directors in the category of “Non-Executive Independent Directors for the first term of 5 (five)
consecutive years from September 1, 2026, till August 31, 2031, subject to the approval of the shareholders:

Mr. Manish Sharma, Previously served as Chairman and Enterprise Growth Officer of Panasonic Life Solutions
India and South Asia, has over three decades of leadership across the consumer electronics industry. He holds
multiple leadership positions with the industry body FICCI and is part of several government appointed
committees.
Mr. Sanjeev Mehra, a seasoned power-sector veteran of more than four decades, previously served as the
Managing Director of Tata Power Trading Company. He is also Independent Director of Malana Power Company
Limited and AD Hydro Power Limited.
Mr. Ameya Suresh Prabhu, Managing Director of Aarna Holdings; Founder and CEO of NAFA Capital; and a World
Economic Forum Young Global Leader. He is the Former President of the Indian Chamber of Commerce (ICC).
He has been designated as a Young Global Leader by the World Economic Forum. He is also the Co-Chairman of
Confederation on of Indian Industries (CII), International.
Mr. Rajiv Dewan is a Fellow Member of the Institute of Chartered Accountants of India having nearly four decades
of experience. He is also Independent Director on the Board of Mrs. Bector Food Specialities Limited and Non-
Executive Director of Trident Limited.
Mr. Pushp Jain, who holds MBA with specialization in Finance and Marketing from the University of Southern
California, Los Angeles, U.S.A. and leads the chemicals manufacturing business of the KLJ Group.
