Services Solutions Private Limited (Transferor Company) and Sonata Software Limited (Transferee Company / the Company) and their respective Shareholders and Creditors, the Company had filed Form No. INC-28 with the Registrar of Companies (“RoC”) and the same is approved by RoC today i.e, 25th August, 2026 and accordingly, the Scheme has become effective from 14th August, 2026 (Date of filing with RoC). The Appointed Date of the Scheme is 1st April, 2024. This is to further inform that as the Scheme involves merger of wholly-owned subsidiary Company with the Company, and no fresh equity shares are issued by the Company in terms of the Scheme, there is no effect on the Issued, Subscribed and Paid-up Capital of the Company pursuant to effectiveness of the Scheme.
