The Nineth (9th) Annual General Meeting of the members of Company will be held on Wednesday, September 16, 2026 at 12:30 P.M. at Plot No. F-43 Basni 1st Phase, Jodhpur, Rajasthan-342001 in compliance with Ministry of Corporate Affairs General Circulars No. 17/2020 dated 13th April, 2020, read with SEBI Circular no. SEBI/ HO/CFD/PoD-2/P/CIR/2023/4 dated January 05, 2023 and Section VI-J of the SEBI Master circular HO/49/14/14(7)2025-CFD-POD2/I/3762/2026 dated January 30, 2026 (‘SEBI Circular’) to transact the business referred to in the Notice of AGM. In Compliance with the MCA Circulars and SEBI Circular the Notice of AGM and the Annual Report has been dispatched by electronic mode to those members whose names appear on the Register of Members / List of Beneficial Owners as on Friday, August 21, 2026 (“Record Date”), received from the Depositories and whose e-mail address is registered with the Company/Depositories Participants or the Registrar and Share Transfer Agent (RTA) of the Company Bigshare Services Private Limited. The Company has engaged the services of Bigshare Services Private Limited (BigShare) for the purpose of providing remote e-voting facility prior to AGM to all its members, to cast their vote electronically on all resolutions as set forth in the Notice, pursuant to Section 108 of the Act read with Rule 20 of The Companies (Management and Administration) Rules, 2014 (“Rules”), as amended, and Regulation 44 of the SEBI Listing Regulations. The Ordinary and Special Businesses, as set out in the Notice, will be transacted only through voting by electronic means. Voting rights of a Member shall be in proportion to his/her/its shareholding in the paid- up equity share capital of the Company as on Wednesday, September 09, 2026 (“Cut- off Date”). The e-voting period commences on Sunday, September 13, 2026, (9:00 AM IST) and ends on Tuesday, September 15, 2026 (5:00 PM IST). During this period, members of the Company holding Equity Shares, as on the Cut-off Date may cast their vote electronically. The e-voting module shall be disabled by Bigshare for voting after Tuesday, September 15, 2026 (5:00 PM IST). Once the vote on a resolution is cast by a member, he or she will not be allowed to change it subsequently. The members who will be present at the AGM venue and have not already cast their votes through remote e-voting and are otherwise not barred from doing so, shall be eligible to vote through e-voting during the AGM. However, during the financial year under review, the business environment remained challenging, particularly due to subdued demand in certain international markets and uncertainties affecting the global trade environment. The Company's product portfolio comprises a broad range of furniture and lifestyle products designed for residential, commercial and institutional requirements. Our offerings cover natural, classic, modern, minimalist and premium styles, enabling us to cater to diverse customer preferences and market segments. Over the years, Priti International Limited has earned distinction as a preferred choice in both retail and project-based markets, offering collections that span natural, classic, modern, minimalist, and premium styles. Our interiors are defined by clean lines and a contemporary aesthetic, developed in collaboration with renowned Indian designers to deliver exclusive, stylish collections for homes and businesses alike. Our manufacturing facilities located at Basni, Mogra and Boranada support the production of an extensive range of products, including living-room, bedroom, dining-room, seating, kitchen storage and office furniture. The Company also manufactures bar furniture, home décor products, storage solutions, textile-based products such as cushions, carpets, handbags and backpacks, and undertakes the upcycling and transformation of wooden and metal waste into creative décor products. During the year, the Company continued its efforts towards diversification of its business operations through its Trading of Solar Products vertically. The financial year under review was marked by challenging market conditions, particularly in the export business. These factors resulted in cautious purchasing decisions by overseas customers and impacted the flow of export orders during the year. However, during the year under review, the Company experienced reduced opportunities and lower demand in certain export markets due to unfavourable global business conditions and trade-related challenges. Despite the difficult business environment, the Company continues to maintain its relationships with customers and remains focused on exploring opportunities across existing and potential markets. The management is closely monitoring developments relating to international trade, tariffs, customer demand and other market conditions while taking appropriate steps to strengthen business operations and improve market opportunities.
