This is to inform that the 49th Annual General Meeting (“AGM”) of the Company is scheduled to
be held on Wednesday, September 16, 2026 at 03:00 P.M. (IST) through Video
Conferencing/Other Audio Visual Means (“VC/OAVM”) in compliance with the applicable
provisions of the Companies Act, 2013 read with the rules made thereunder, the Listing
Regulations and applicable circulars issued by the Ministry of Corporate Affairs and SEBI in this
regard.
In terms of the requirements of Regulation 34(1) of the Listing Regulations, we are submitting
herewith the Annual Report of the Company including the Business Responsibility and
Sustainability Report (BRSR) and the Notice of AGM for the FY 2025-26, which is being sent
through electronic mode to those Members whose e-mail addresses are registered with the
Company/Registrar and Transfer Agent (“RTA”)/Depository Participants (“DPs”). Further, in
accordance with Regulation 36(1)(b) of the Listing Regulations, the Company is also sending a
letter to those Members whose e-mail addresses are not registered with the Company/RTA/DPs,
providing the weblink and QR Code from where the Annual Report for FY 2025-26 can be
accessed on the Company’s website.
The said Annual Report and the Notice is also uploaded on the Company’s website at
www.metrobrands.com.
