Welcome address by Mr. Tarun Belwal, Company Secretary and Compliance Officer
Mr. Tarun Belwal: Good Evening, Members. A very warm welcome to all of you to the 41st Annual
General Meeting of your Company which is being held through Video Conference mode in accordance
with the provisions of the Companies Act, 2013 read with circulars issued by the Ministry of Corporate
Affairs & Securities and Exchange Board of India.
I hope all of you and your family member are safe and keeping doing well. My name is Tarun Belwal,
and I am the Company Secretary and Compliance Officer of your Company. Now, I would like to
introduce the dignitaries joined through Video Conference and appearing on your screen. Starting
from the Chairman Sir:

I would like to inform the Members that Ms. Abha Kapoor, Ms. Vandana Malik and Ms. Tara Bahl have
requested a leave of absence from this meeting due to their pre-occupation. The requisite quorum as
required under the Companies Act is present for this meeting.
I would like to inform that the Members have been kept on mute to avoid any background noise or
disturbances, and they may ask questions or post their views on the “Q&A” tab on their screen. It may
be noted that the Company reserves the right to limit the number of members asking questions due
to paucity of time.
We urge members to read & refer to the explanatory statement issued along with Notice of this AGM
to have more details about the proposed agenda items.

Welcome address by Mr. Parshotam Dass Agarwal, Chairman of the Board
Mr. Parshotam Dass Agarwal: A very warm welcome to all the shareholders and other dignitaries to
the 41st Annual General Meeting of your Company.
My name is Mr. Parshotam Dass Agarwal, and I am the Chairman of the Board of your Company.
As the Chairman of the Board and after having consensus of all the Directors present in this meeting,
I would request Mr. Raghav Bahl to preside over this meeting. Thank you.
Mr. Raghav Bahl: Thankyou Mr. Chairman Sir. It is a privilege to welcome you all to the 41st Annual
General Meeting of your Company. On behalf of the Board of Directors, I extend my heartfelt greetings
and hope that you and your families are all safe and well.
I understand from the RTA and our Company Secretary that the requisite quorum is present, hence,
the proceedings of this Annual General Meeting can therefore commence.
The Annual Report of your Company for the year ended 31 March 2026 has already been circulated
along with the Notice of this Annual General Meeting to all shareholders whose email ID is registered
with the RTA or Depository Participants. With the permission of the shareholders, I take as read the
Auditors' Reports on the standalone and consolidated financial statements and the Secretarial Audit
Report of the Company for the financial year ended 31 March 2026, since they do not contain any
qualification, reservation, adverse remark, or disclaimer. Accordingly, these reports are not required
to be read out, as provided under the Companies Act, 2013.
I would now like to spend some time on the major developments of the year gone by.
Despite geopolitical tensions, the global economy grew 3.4% in 2025 (up from the prior year), while
India led major Asian economies at 7.6% growth (IMF), supported by strong macro fundamentals and
sustained reforms. Your Company delivered a robust performance in this environment, with a
significantly higher top line and strengthened consolidated equity.
Your Company remains India's only listed pure-play, AI-driven, multi-brand digital media and
technology enterprise, engaging audiences through innovative content and emerging technologies.
Our commitment to fearless, independent journalism — guided by "Question Everything" — was
recognised in FY 2025-26 through the Laadli Media Awards, INMA Global Media Awards, SOPA
Awards, and WAN-IFRA South Asian Digital Media Awards, among others.
Following Members' approval to amend the Object Clause, the Company entered hospitality and
lifestyle content through an exclusive franchise agreement with Time Out Group to launch Time Out
India, including:
• A lease for Delhi's first Time Out Market, with exclusive rights to develop Time Out Markets
across India
• Time Out Media India, a digital city guide now live in Delhi and Mumbai, covering food, drink,
arts, culture, and events
• Time Out Market Delhi, the flagship destination, currently under launch
This marks the Company's entry into a new experiential business segment, diversifying revenue
beyond core digital media.
At group level, effective from October 1, 2025, Quintype Technologies Inc. became a subsidiary of the
Company. Prior to this, it operated as a joint venture.
Your Company continues to explore flexible business models, including joint ventures, franchises, and
revenue-sharing arrangements, as it scales the Time Out India platform and remains agile and
responsive to evolving market opportunities.
Quintype Technologies India is a SaaS-based digital publishing platform using AI to streamline
newsroom operations worldwide. Trusted by 300+ publishers with over 1 billion monthly page views,
it automates editorial workflows and helps publishers scale content affordably — making high-
performance digital journalism more accessible.
Quintype strengthened its social media analytics capabilities through ListenFirst Media LLC, a New
York-based platform serving major global brands, which generated INR 929.4 million in revenue in
FY26. Combined with Quintype's publishing technology, this gives publishers and brands deeper
audience insights and engagement tools.
