This is further to our disclosure dated May 12, 2026, inter alia, informing that the Board of Directors
had approved the proposal to withdraw the Scheme of Amalgamation of Paper Boat Apps Private
Limited, a wholly owned subsidiary of the Company with Nazara Technologies Limited (‘Scheme’)
under Sections 230 to 232 and other applicable provisions of the Companies Act, 2013, owing to
changes in restructuring plans of the Company.
In this regard, we wish to inform you that the Hon'ble National Company Law Tribunal, Mumbai Bench
(‘NCLT’) has allowed the application seeking withdrawal of the Scheme. The said Order has been made
available on the website of the NCLT today and is enclosed herewith.

the application any further and to withdraw the same. In view of the statement
made by the Counsel for the Applicant, CA No. 162/2026 is allowed and
disposed of and CA 37/2025 is dismissed as withdrawn.
