It may kindly be noted that the majority of the Board members, vide Circular Resolution dated August 18, 2026, approved the appointment of both the aforesaid Independent Directors on the Board of MFL, with effect from the respective dates of allotment of their DINs. Accordingly, the appointment of Shri Dipesh Kumar (DIN: 11904399) was approved with effect from April 20, 2026, being the date of allotment of his DIN, and the appointment of Shri Ravada Satyanarayana (DIN: 11905587) was approved with effect from April 21, 2026, being the date of allotment of his DIN. It is further informed that the aforesaid Independent Directors are not debarred from holding the office of Director by virtue of any order passed by the Securities and Exchange Board of India or any other such authority.
