Requirements) Regulations, 2015 (“SEBI Listing Regulations”).
Pursuant to Regulation 30 of SEBI Listing Regulations, we wish to inform you that the Board of
Directors of Tata Consultancy Services Netherlands B.V., a wholly owned subsidiary of the
Company, at its meeting held today, considered and approved the acquisition of 100% of equity shares
of MHP Management- und IT-Beratung GmbH (“MHP”), subsidiary of Porsche AG (“Porsche”),
for an enterprise value of € 320 million.
MHP is a leading automotive and industrial consulting firm with expertise in business consulting,
digital transformation, AI, software-defined mobility, SAP and manufacturing digitalization.
This acquisition is a part of the strategic partnership between the Company and Porsche, to drive
AI transformation, anchored in next-generation manufacturing technologies and software-defined
mobility.
Pursuant to the aforesaid approval, the Share Purchase Agreement (“Agreement”) has been executed
today to record the terms and conditions of the proposed acquisition. The completion of the
acquisition is subject to regulatory approvals and fulfilment of conditions precedent as specified in
the Agreement.
We are enclosing herewith the brief details of the above as prescribed under SEBI Listing Regulations
as Annexure A. A Press Release with detailed information is enclosed as Annexure B.

As part of the strategic deal, TCS will set up an AI Mobility Centre of Excellence for the auto major and
acquire Porsche’s IT consulting subsidiary – MHP.
MUMBAI | STUTTGART, August 24, 2026: Tata Consultancy Services (TCS) (BSE: 532540, NSE: TCS), today
announced a strategic partnership with Porsche AG (ETR: P911) for enabling AI services across the mobility
value chain for Porsche. The partnership is reinforced by a five-year strategic deal from Porsche.
As part of the deal, TCS will establish a dedicated AI Mobility Centre of Excellence for Porsche to drive
innovation across manufacturing, engineering, operations and customer experience. TCS, through its
