Summary of proceedings of the 44th Annual General Meeting of Responsive Industries
Limited held on Monday, August 24, 2026
A. Date, time and venue of the Annual General Meeting:
The 44th Annual General Meeting (AGM) of the Company held on Monday, August 24, 2026
at 03.00 P.M. (IST) through Video-Conferencing (VC) or Other Audio-Visual Means (OAVM).
The Meeting commenced at 3.08 P.M. (IST) and concluded at 04.11 P.M. (IST) (including
time allowed for e-voting at the Meeting).
B. Proceedings in brief:
Mr. Aayush Agarwal, Chairperson & Non-Executive Director chaired the meeting. The
Chairperson informed that the Meeting was held through VC / OAVM in compliance with
the circulars issued by the Ministry of Corporate Affairs (MCA), SEBI, applicable provisions
of the Companies Act, 2013 and the SEBI (Listing Obligations and Disclosure Requirements)
Regulations, 2015. The requisite quorum being present, he called the Meeting to order.
All the directors, Chief Financial Officer and the Company Secretary were present at the
meeting. The Chairperson stated that the representatives of the Statutory Auditors and the
Secretarial Auditors were also present at the meeting.
Mr. Jayesh Jain, Company Secretary informed that the statutory registers and other
documents were available for inspection. He further that the Company had provided facility
of voting electronically through MUFG on all the resolutions set forth in the notice. This was
followed by a walk-through of the financial performance of the Company for the FY 2025-
26 by Mr. Mehul Vala, Whole-time Director & CEO. Mr. Ruvi Bhansali, Chief Financial Officer
briefed on the summary of Statutory Auditors’ Report and the Secretarial Audit Report for
the financial year 2025-26.
Thereafter, the items of business as set out in the 44th AGM Notice, were taken up for
consideration. Members were provided an opportunity to seek clarifications, ask questions,
and express their views on the resolutions through VC. The Chairperson, along with the
Management, responded to and addressed the queries raised by the Members.

The Board of Directors had appointed M/s. Mayank Arora & Co., Company Secretaries as the
Scrutinizer for supervising the e-voting process (i.e. remote e-voting before the meeting and
e-voting at the Meeting) in a fair and transparent manner.
The Chairperson authorized the Company Secretary to declare the voting results, intimate the
stock exchanges and place the same on the website of the Company. All the resolutions set out in
the Notice convening the 44th Annual General Meeting shall be deemed to have been passed on
Monday, August 24, 2026, subject to receipt of the requisite majority of votes cast by the
Members through remote e-voting and e-voting during the AGM, in accordance with the
applicable provisions of the Companies Act, 2013 and the SEBI (LODR) Regulations, 2015.
