Financial Year 2025-26
Dear Sir/Madam,
Pursuant to the provisions of the SEBI (Listing Obligations and Disclosure Requirements)
Regulations, 2015, (the 'Listing Regulations'), we wish to inform the following:
1. The 42nd Annual General Meeting ('AGM') of the Members of Jindal Drilling And
Industries Limited will be held on Tuesday, 15th September, 2026 at 3.00 P.M.
through Video Conferencing ('VC) / Other Audio Visual Means ('OAVM') in
accordance with Circulars issued by the Ministry of Corporate Affairs and Securities
And Exchange Board of India, from time to time.
2. Pursuant to the said Circulars, AGM Notice and Annual Report for the Financial
Year 2025-26 is being sent to all the members of the Company, whose email
addresses are registered with the Company/Depository Participant(s).
3. The Company has provided the facility to vote by electronic means (remote e-voting
as well as e-voting at the AGM) on all the resolutions set out in the AGM notice to
the members, who are holding shares as on Cut-off date i.e. Tuesday, 08th
September, 2026. The remote e-voting will commence at 9:00 a.m. (IST) on Friday
11th September, 2026 and end at 5:00 p.m. (IST) on Monday, 14th September,
2026. Detailed instructions for registering email addresses(s) and voting/attendance
at the AGM are given in the AGM Notice.
4. We also enclose the Annual Report of the Company for the Financial Year 2025-26
including Notice convening the 42nd AGM of the Company for your record which
can also be accessed at the Company’s website at www.jindal.com.

Your Company delivered a steady performance in the year
under review, marked by good profitability, sound financial
footing and disciplined execution. This performance reflects
our technical and operational capabilities and our ability to
stay focused on what matters most - serving our customers
reliably and building long-term value.
As detailed in this Annual Report, our operational strength was
on full display through the year. We mobilized and redeployed
a rig within record time under a new charter-hire contract, a
reflection of our strong technical capabilities and seamless
coordination across our teams.
We remain, at our core, a people-driven organisation. We
continue to invest in training, incentives and leadership
development, building a strong pipeline of future leaders. Our
well-maintained fleet, purpose-built for Indian offshore
conditions, give us a clear operational edge as we deepen our
focus on domestic projects.
Our focus on health, safety, and sustainability continues to
grow stronger. We have scaled up initiatives to reduce
emissions and strengthen our performance across
Environmental, Social and Governance (ESG) priorities- not as a
compliance exercise but as a core part of how we build
long-term value.
I am pleased to report that these combined efforts have
enabled your Company to deliver good profitability.
I congratulate the senior leadership team for this achievement,
which reflects our financial discipline and the strength of our

This performance has further strengthened our balance sheet.
