Notice is hereby given that the 41ST Annual General Meeting of Continental Chemicals Limited will be held on Friday,
18th September 2026 at 04:00 P.M. through Video Conferencing (VC) to transact the following business:
ORDINARY BUSINESS
1. To receive, consider and adopt the Board’s Report for the year ended 31st March 2026, audited Statement of Profit
and Loss for the year, Balance Sheet as on that date, and the Report of the Auditors thereon.
2. To appoint a director in place of Ms. Sunaina Chibba (DIN:00370454), who retires by rotation and being eligible,
offers herself for re-appointment.

1. The relevant details pursuant to Regulation 36(3) of the Securities and Exchange Board of India (Listing Obligations
and Disclosure Requirements) Regulations, 2015 (“SEBI Listing Regulations”) and Secretarial Standard on General
Meetings issued by the Institute of Company Secretaries of India, in respect of Director seeking appointment at the
41st AGM are also annexed with this notice as Annexure-A.
2. The Ministry of Corporate Affairs, Government of India (“MCA”), vide its General Circular No. 03/2025 dated
September 22, 2025, read with its earlier General Circulars dated May 5, 2020, December 28, 2022, September 25,
2023 and September 19, 2024 (collectively referred to as the “MCA Circulars”), has, inter alia, permitted companies
to conduct Annual General Meetings (“AGMs”) through Video Conferencing (“VC”) or Other Audio-Visual Means
(“OAVM”), without the physical presence of members at a common venue. Accordingly, the facility for holding AGMs
through VC/ OAVM shall continue to be available till further orders, subject to compliance with the requirements
prescribed under paragraphs 3 and 4 of the MCA General Circular dated May 5, 2020. The Securities and Exchange
Board of India (“SEBI”), vide its Circular No. SEBI/HO/CFD/CFD-PoD-2/P/CIR/2024/133 dated October 3, 2024
(“SEBI Circular”), has also granted certain relaxations from compliance with specific provisions of the SEBI (Listing
