Thanking you, Yours faithfully For Aptus Pharma Limited Tejash Maheshchandra Hathi Managing Director DIN: 03151221 APTUS PHARMA LIMITED CHARTS NEXT GROWTH PHASE WITH FOCUS ON MANUFACTURING, PAN-INDIA EXPANSION AND GLOBAL MARKETS Ahmedabad, August 24, 2026: Aptus Pharma Limited (“Company”), presently operating predominantly through a marketing-led pharmaceutical business model, has outlined its next phase of growth focused on developing its own manufacturing capabilities, strengthening its Pan-India presence and exploring opportunities in international markets. The Board of Directors has approved a proposal to raise ₹44.88 crore through a preferential issue of equity shares to identified investors. The proposal is subject to approval of the members at the forthcoming Annual General Meeting scheduled for September 14, 2026, and other applicable statutory and regulatory approvals. Subject to receipt of the requisite approvals and completion of the preferential issue, the Company proposes to utilise ₹25 crore towards capital expenditure comprising land acquisition, manufacturing plant structure, hi-tech storage facilities and vehicles; ₹10 crore towards working-capital requirements; and ₹9.88 crore towards general corporate purposes, including operational requirements, corporate exigencies, strategic growth, business expansion, strengthening of the financial position, enhancement of net worth and reduction of debt. The issue proceeds are proposed to be utilised within 36 months from the date of receipt of funds, in accordance with the disclosures contained in the AGM Notice. As part of its long-term strategy, the Company proposes to develop its own manufacturing capabilities and aspires to meet approximately 20% of its product requirements through in- house manufacturing. The initiative is expected to strengthen control over product quality, supply-chain management and product availability and support the development of its own- brand portfolio. Its implementation will be subject to commercial and technical feasibility, availability of funds and applicable regulatory approvals. On the domestic front, the Company intends to progressively strengthen its sales and distribution presence across West, Central, East and South India as it moves towards broader Pan-India operations. The Company also intends to explore opportunities in select international markets, including Africa, the Middle East and Latin America, through product registrations, export partnerships and other permissible business arrangements. Such expansion will be pursued progressively, subject to commercial viability, market conditions and applicable regulatory approvals.
