In compliance with the applicable laws, the Notice of 20th AGM and the Annual Report are being sent ‘today’ only through electronic mode to all the Members, whose names appear on the register of members/list of beneficial owners, as received from the National Securities Depository Limited (“NSDL”) and Central Depository Services (India) Limited (“CDSL”) and who have registered their e-mail IDs with Company/Depository Participant(s) (“DP”)/Registrar and Share transfer agent (“RTA”) i.e. MUFG Intime India Private Limited (Formerly Link Intime India Private Limited). Further pursuant to the provisions of Regulation 36(1)(b) of the Listing Regulations, the Company is sending a letter providing a web-link of the Annual Report 2025-26 to those Members who have not registered their e-mail addresses with the Company or with Depositories or with MUFG Intime India Private Limited (Formerly Link Intime India Private Limited), Registrar & Share Transfer Agent (“RTA”) of the Company. The Notice of 20th AGM and the Annual Report of the Company for financial year 2025-26 are also available on the website of the Company at www.yatra.com. Further, in compliance with the provisions of Section 108 of the Companies Act, 2023, read with Rule 20 of the Companies (Management and Administration) Rules, 2014, Regulation 44 of the Listing Regulations and other applicable laws, the Company is providing facility of remote e-voting to its Members in respect of the businesses to be transacted at the 20th AGM. For this purpose, the Company has entered into an arrangement with NSDL for facilitating voting through electronic means, as the authorized agency. The facility of casting votes by a member using remote e-voting system as well as voting at the 20th AGM will be provided by NSDL.
