Towers, Bandra Kurla Complex, Dalal Street, Mumbai-400051 Mumbai-400001| Scrip Symbol- SRGHFL Scrip Code – 534680 Dear Sir/Madam, Subject- Disclosure under Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 Pursuant to Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, we wish to inform that the Board of Directors, at its meeting held on Thursday, August 20, 2026, considered and in-principle approved the proposal for voluntary conversion of the Company from a Housing Finance Company (HFC) to a Non- Banking Financial Company – Investment and Credit Company (NBFC-ICC) subject to obtaining the requisite approval of the RBI and other applicable approvals. The Board noted that the proposed conversion would enable the Company to diversify its product portfolio into permissible lending segments, including Home Loans, Loan Against Property (LAP), Business Loans and MSME Loans, thereby providing opportunities for portfolio diversification and larger addressable market. The proposed conversion is subject to prior approval of RBI and compliance with all applicable requirements. The Board authorised the management to take necessary steps and make the requisite applications, submissions to the RBI, NHB and other relevant authorities in this regard. Until such approval(s) are received and the conversion is duly effected, the Company shall continue to operate and be governed as a Housing Finance Company.
