Scrip Code: 538942 Sub: Intimation regarding Effectiveness of the Scheme of Amalgamation Between Walery Security Management Limited (Transferor Company), a subsidiary of the Company, and i3 Security Private Limited (Transferee Company), a wholly owned subsidiary of the Company and their respective Shareholders - Regulation 30 of SEBI (Listing Obligation and Disclosure Requirement) Regulations, 2015 and as amended Dear Sir / Madam, In continuation of our earlier intimation dated July 22, 2026, regarding the Scheme of Amalgamation Between Walery Security Management Limited (Transferor Company), a subsidiary of the Company, and i3 Security Private Limited (Transferee Company), a wholly owned subsidiary of the Company and their respective Shareholders, (‘Scheme’) sanctioned by the Hon'ble National Company Law Tribunal, Division Bench – II, Chennai, vide its Order dated 23rd July, 2026, the certified copy whereof has been received by the respective Companies, we wish to inform you that the Transferee Company has filed the Form INC-28 with the Registrar of Companies, Chennai, on 22nd August 2026, along with the certified copy of the aforesaid Order. Pursuant to the filing of e-Form INC-28 with the Registrar of Companies, the Scheme has become effective in accordance with its terms with effect from 22nd August 2026 ("Effective Date"). Further pursuant to the effectiveness of the Scheme, i.e., 22nd August 2026: i. Walery Security Management Limited, the Transferor Company shall be dissolved without winding up. ii. the Board of Directors and any committees thereof of the Transferor Company shall without any further act, instrument or deed, stand dissolved. The 'Appointed Date' for the Scheme is January 01, 2024. The amalgamation does not involve any change in the shareholding pattern of the listed company.
