Pursuantto Sections 108,110ofthe CompaniesAct,2013("the Act"), read withRules22 and20 of the Companies (Management and Administration) Rules, 2014 ("the Rules"), the Secretarial Standard- 2 on General Meetings issued by the Institute of Company Secretaries of India ("SS- 2"),readwiththeGeneralCircularNos.03/2025datedSeptember22,2025,issuedbytheMinistry of Corporate Affairs ("MCA") (herein after collectively referred to as "MCA Circulars"), Regulation44 ofthe Securities andExchangeBoardof India(Listing Obligations andDisclosure Requirements) Regulations, 2015 (Listing Regulations") and other applicable provisions, of the Act, rules, regulations, circulars and notification (including any statutory modification(s), clarifications(s), substitution(s), or re-enactment(s) thereof for the time being in force), the resolutions, as set out in the Notice of the Postal ballot dated June 1,2026, was proposed for approvaloftheMembersofGEEKAYWIRESLIMITED"the Company") asSpecialResolution, by way of Postal Ballot only through remote e-voting i.e. voting through electronic means ("Remote e-Voting"). Incompliancewiththe provisions ofSections 108, 110andotherapplicableprovisionsoftheAct, read with (i) Rule 20 and Rule 22 of the Rules, as amended; (ii) Regulation 44 of the Listing regulations (iii) the SS-2 and (iv) MCA Circulars, the Company has provided Remote e-Voting facilityonly,to itsmembersto enablethemto casttheirvotedelectronically instead ofsubmitting the Postal Ballot Form physically. For this purpose, the Company has engaged the services of Bigshare Services Private Limited asthe authorizedagencytoprovideRemote e-Votingfacility appointedbythe Company. Electronic Voting Number "1137" (EVSN) was generated for casting the votesthroughe-votingmodeandcommunicatedtoMembersaspartofNotice. TheCompanyand BIGSHARE SERVICES PVT LTD had complied with all the necessary formalities specified undertheAct,the Rules andthe Circularsissued inthis regard. The Postal Ballot Notice was sent only by electronic mode, to those Members whose email addressesareregistered with the Company/ Depositories,inaccordancewith the aforesaidMCA and SEBI Circular. Accordingly, physical copy of the Postal Ballot Form and pre-paid business replyenvelopewasnot senttothe Membersforthis Postal Ballotprocess. The communicationof the assent or dissent of the Memberstook place only through the Remote e-Votingsystem. Ireportthat,theNotice was sent throughe-mailtothe Memberswhoseemail IDswereregistered with the CompanylDepositories and as made available and provided by the BIGSHARE. The shareholdersholding sharesasonthecut-offdate i.e.,Friday,May 29,2026,were entitledto vote ontheproposedresolutions as set out inthe PostalBallotNotice. Apublic notice with regard to the Company's Postal Ballot was published on Thursday June 4, 2026, in Financial Express (All India Edition) English Newspaper and in Nava Telangana (regional language of the State of Telangana where the Registered Office of the Company is situated)RegionalNewspaper, respectivelyproviding requisite information and contactdetailsof BigshareServicesPrivate Limited forregisteringe-mailIDsand any queries on e-voting. TheRemoteE-VotingwascommencedonFriday, June 5,2026,at 09:00AM andwasconcluded on Saturday, July 4, 2026, at 5.00 PM. Remote E-Voting was blocked by Bigshare Services Private Limited as authorized by me immediately and thereafter no one was allowed to Vote beyondthe saiddate andtime. Therewasnovotingdonethroughphysical postal ballot form. Thee-votingwasunblockedat5.03PM onJuly 04,2026,inthepresenceofMrs.ZareenaKhader and Ms. Arshakota Mounika, who are not in the employment of Company and the e-voting summary statement was downloaded from e-voting website of BIGSHARE SERVICES. PRIVATE LIMITED. Themanagementofthe company isresponsibletoensurethe Compliancewiththerequirementof the Act, 2013 and Rules made thereunder and the SEBI (Listing Obligations and Disclosures Requirements)Regulations, as applicable relating to the voting through Remote E-Voting onthe Resolutionmentioned inthe Postal BallotNotice datedJune 1,2026. My responsibility as scrutinizer for the remote e-voting is restricted to making a Scrutinizer's Report of the votes cast in favor or against the resolutions based on the reports generated from Remote E-Voting system provided by BIGSHARE SERVICES PRIVATE LIMITED.
