Dear Shareholders, This Corrigendum is being issued to all the shareholders of Gangotri Textiles Limited in connection with the Notice dated 15 May 2026 ("AGM Notice") convening the 37th Annual General Meeting of the Company scheduled to be held on Friday, 21 August 2026 at 10.30 AM Shareholders are hereby informed that the Hon’ble National Company Law Tribunal (NCLT), Chennai Bench , Case No: CP(IB)/310(CHE)2025 , vide its order dated 7 August 2026 (received on 19 August 2026), has admitted an application for the initiation of the Corporate Insolvency Resolution Process (CIRP) against the Company under the Insolvency and Bankruptcy Code, 2016 ("IBC"). Pursuant to Section 17 of the IBC, the powers of the Board of Directors of the Company stand suspended with effect from 7 August 2026, and the management of the affairs of the Company vests entirely with the Interim Resolution Professional (IRP) CA.G.Gunasekaran , IBBI/IPA-001/IP-P00681/2017-2018/11178 Accordingly, shareholders are requested to note the following crucial modifications to the AGM Notice: 1. Management and Chairmanship: The AGM scheduled for 21 August 2026 will be conducted under the absolute control, authority, and supervision of the IRP. The IRP will chair and preside over the meeting. The suspended Board of Directors has no separate authority to independently drive or alter the proceedings. 2. Business Agenda: The ordinary and special businesses proposed in the AGM Notice dated 15 May 2026 remain unchanged, but their evaluation and approval will be subject to the overriding provisions of the IBC and the directions of the IRP. 3. Validity: This Corrigendum forms an integral part of the AGM Notice dated 15 May 2026. All other contents, logistics, and voting processes mentioned in the original AGM Notice remain valid to the extent they do not conflict with the IBC. b 4 This Corrigendum is also available on the website of the Company and the websites of the relevant Stock Exchanges.
