Historically, the Company focused on investments in selected industrial projects and providing financing and lending support to commercially viable opportunities. Following the change in ownership of the Company, HCKK has diversified its business activities and transitioned its focus towards the Information Technology (“IT”) sector. The Company is now engaged in providing specialised technology consultancy and technology- enabled solutions to businesses, particularly in the Logistics, Telecommunications and Education sectors. Through strategic alliances with established technology companies and solution providers, HCKK provides customised software and digital solutions aimed at streamlining business processes and facilitating regulatory compliance. Its offerings include solutions relating to e-Invoicing, E-Way Bills, Goods and Services Tax (“GST”), Digital Certificates and other digital compliance requirements. The Company also provides turnkey technology and Enterprise Resource Planning (“ERP”) solutions for businesses operating in the Logistics, Freight Forwarding, Warehousing and Transportation sectors. Its services cover the process from business and system analysis through implementation, integration and ongoing support, enabling clients to improve operational efficiency and process visibility. As part of its growth strategy, HCKK is also strengthening its technology capabilities through the proposed establishment of a development centre in Mumbai, which is intended to support innovation, software development and delivery of customised client solutions. The Company follows a client-centric approach, with a focus on providing tailor- made solutions that reduce operational errors, improve efficiency, support regulatory compliance and enhance business performance. HCKK VENTURES LIMITED 43rd ANNUAL REPORT 2025-26 FINANCIAL PERFORMANCE HCKK VENTURES LIMITED 43rd ANNUAL REPORT 2025-26 HCKK VENTURES LIMITED 43rd ANNUAL REPORT 2025-26 INDEPENDENT AUDITOR’S REPORT To The Members of HCKK VENTURES LIMITED Report on the Audit of the Standalone Financial Statements Opinion We have audited the accompanying standalone financial statements of HCKK VENTURES LIMITED (“the Company”), which comprise the Balance Sheet as at March 31, 2026, the Statement of Profit and Loss (including Other Comprehensive Income), the Statement of Changes in Equity and the Statement of Cash Flows for the year ended on that date, and a summary of the significant accounting policies and other explanatory information (hereinafter referred to as “the standalone financial statements”). In our opinion and to the best of our information and according to the explanations given to us, the aforesaid standalone financial statements give the information required by the Companies Act, 2013 (“the Act”) in the manner so required and give a true and fair view in conformity with the Indian Accounting Standards prescribed under section 133 of the Act read with the Companies (Indian Accounting Standards) Rules, 2015, as amended, (“Ind AS”) and other accounting principles generally accepted in India, of the state of affairs of the Company as at March 31, 2026, and its loss, total comprehensive income, the changes in equity and its cash flows for the year ended on that date. Basis for Opinion We conducted our audit of the standalone financial statements in accordance with the Standards on Auditing (SAs) specified under Section 143(10) of the Act. Our responsibilities under those Standards are further described in the Auditor’s Responsibilities for the Audit of the Standalone Financial Statements section of our report. We are independent of the Company in accordance with the Code of Ethics issued by the Institute of Chartered Accountants of India (ICAI) together with the ethical requirements that are relevant to our audit of the standalone financial statements under the provisions of the Act and the Rules thereunder, and we have fulfilled our other ethical responsibilities in accordance with these requirements and the Code of Ethics of ICAI. We believe that the audit evidence we have obtained is sufficient and appropriate to provide a basis for our opinion on the standalone financial statements. Emphasis of Matter We draw attention to Note xi. to the financial statements regarding withdrawal of the proposed merger between the Company and Softlink Global Private Limited and Ivolve Holdings Private Limited. Consequent to the withdrawal, the Company has written off ` 69.88 lakhs during the year. Our opinion is not modified in respect of this matter.
