Pursuant to Regulation 30 read with Part A of Schedule III of the SEBI (Listing Obligations and Disclosure
Requirements) Regulations, 2015, please find enclosed herewith in Annexure — I, the proceedings of the 30" Annual
General Meeting (“AGM™) of the Company, which was held today, (Friday) 21* August, 2026 at 4pm (IST) through
Video Conferencing / Other Audio Visual Means, without the physical presence of the shareholders at the registered
office of the company situated at 13B Bidhan Sarani, 4® Floor, Kolkata 700006. The AGM was held through Video
Conferencing / Other Audio Visual Means in compliance with the Ministry of Corporate Affairs Circular No. 14/2020
dated April 8, 2020, Circular no. 17/2020 dated April 13, 2020 and Circular No.20/2020 dated May 05, 2020, Circular
No. 02/2021 dated 13.01.2021, Circular No. 19/2021 dated 8.12.2021, Circular No. 21/2021 dated 14.12.2021 and
Circular No. 2/2022 dated 05.05.2022, read with the Securities and Exchange Board of India (“SEBI”) Circular No.
SEBI/HO/CFD/PoD-2/P/CIR/2023/167 dated 7th October, 2023, prescribing the procedures and manner of conducting
Annual General Meeting through VC/OAVM and relevant provisions of the Companies Act, 2013 and Securities and
Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 (“Listing Regulations™).

PROCEEDINGS OF THE 30™ ANNUAL GENERAL MEETING OF BCPL RAILWAY INFRASTRUCTURE
LIMITED HELD THROUGH VIDEO CONFERENCING (“VC”) / OTHER AUDIO VISUAL MEANS
(“OAVM”) ON FRIDAY, 215T AUGUST, 2026 AT 4:00 PM (IST) THAT CONCLUDED AT 5.33 PM
The 30% Annual General Meeting (“AGM™) of the members of BCPL Railway Infrastructure Limited was held on
Friday, 21* August, 2026 at 4:00 pm (IST) through video conferencing (“VC”) / other audio visual means (“OAVM”) in
compliance with the MCA Circular No. 14/2020 dated April 8, 2020, Circular no. 17/2020 dated April 13, 2020 and
Circular N0.20/2020 dated May 05, 2020 regarding holding of the AGM through Video Conferencing (“VC”) / Other
Audio Visual Means (“OAVM”), without the physical presence of the Members at a common venue.
Mr. Aparesh Nandi, Chairman and Director, occupied the Chair as the Chairman of the AGM. Mr. Aparesh Nandi, the
Chairman welcomed the members to the 30 AGM of the Company. He thanked the investing public who had bestowed
their faith in the Team, BCPL. He said that the collective effort of our workforce has helped BCPL to navigate the
business through tough times rewarding the investors with a EBIDTA of 13.54%.
The necessary quorum being present, the Chairman called the meeting to be in order. As per the statutory requirements,
the Chairman of Audit Committee, Stakeholders Relationship Committee and the Nomination and Remuneration
Committee were also present. Thereafter, the Chairman welcomed the Directors on Board. He welcomed Mr. Jayanta
Kumar Ghosh, the Managing Director of the Company, Mr. Uday Narayan Singh, the Executive Director & CFO of the
Company, Mr. Debasis Sircar, the Executive Director of the Company, the Independent Directors of the Company
namely Dr Sanghamitra Mukherjee, Mr. Swapan Kumar Chakraborty, Mr. Sudipta Kumar Mukherjee and Mr. Ranajit
Kumar Mondal and Mr. Sandeep Nawalgaria, the Advisor to the Board of Directors. He also welcomed the
representative of the statutory Auditor of the Company, Mr. Ranjan Singh of M/s L B Jha & Co. LLP, the Secretarial
Auditor, Ms Twinkle Pandey of M/s TP & Associates and the Scrutinizer of the AGM, Mr. Sudhir Kothari of M/s Sudhir
Kothari and Associates. Apart from the Directors, several members have joined from their respective locations.
‘With the permission of the members, the Chairman said that the notice convening the meeting, having been already
circulated to the members, is taken as read.
At this stage the Chairman handed over proceedings to Jayanta Kumar Ghosh, the Managing Director to speak on the
performance of the Company during the year 2025-26.
Mr. Jayanta Kumar Ghosh welcomed everyone at the 30® AGM and wished good health to everyone. He informed the
members regarding the performance of the Company during the year 2025-26.
Next, Mr. Uday Narayan Singh, Executive Director & CFO, highlighted on the consolidated performance of the
Company. He expressed his thankfulness to shareholders, customers, bankers, suppliers and business associates for their
continued confidence and recorded his appreciation for the employees whose dedication contributes to the success story.
Next, Mr Debasis Sircar appraised the members that the subsidiary company, BCL Bio Energy Pvt. Ltd. has started
generating revenues and the same is expected to improve further in the times to come. He emphasized that BCPL is
committed to sustainable growth, financial discipline, quality execution and creating long-term shareholder value.

Thereafter, proceeding of the meeting was handed over to Mr. Sandeep Nawalgaria, Advisor to the Board, to inform the
members regarding the financial performance of the Company. Mr. Nawalgaria presented in-depth analysis of the
financial performance and the functioning of the company.
Thereafter, representative of the Statutory Auditor was invited to say a few words. Mr. Ranjan Singh, of M/s LB Jha &
Co LLP, highlighted that no qualification report has been given to the Company. The Auditors Report already circulated
to the members was taken to be read.
The formal resolution was read out to the members for adoption of Audited Financial Statements of the Company for the
financial year ended 31* March, 2026, the Report of the Auditors” and the Report of the Board and other reports and
documents forming part of the Boards’ Report alongwith the annexures thereto for approval of the shareholders.
Resolution no. 2 to 8 forming part of the Notice, were also read out to the shareholders.
Pursuant to the provisions of Companies Act, 2013 and the SEBI Listing Regulations, the Company has provided facility
for voting by electronic means to all its members to enable them to cast their votes electronically so that business may be
transacted through such e-voting and that for this purpose, the Company has availed the services of Central Depository
Services (India) Limited for facilitating voting through electronic means. The Company provided remote e-voting facility
to all persons who were members on Friday, August 14, 2026, being the cut-off date to evote on all the 8 resolutions set
out in the notice of AGM. The evoting facility was open from Tuesday, August 18, 2026 from 9 am(IST)
