Pursuant to Regulation 30 read with Part A of Schedule III of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, as amended (“SEBI Listing Regulations”), we wish to inform you that the Board of Directors of the Company, at its meeting held today, i.e., 21st August, 2026, has, inter alia, considered and approved the strategic collaboration with Sadhav Shipping Limited (“Sadhav”) for formation of a Joint Venture in AOSL Energy Services Limited (“AOSL”), a wholly owned subsidiary of the Company. In furtherance of the proposed Joint Venture, the Board has approved the sale/transfer of 26% of the equity share capital of AOSL, comprising 2,600 equity shares of ₹10/- each, to Sadhav. The proposed Joint Venture is intended to leverage the complementary capabilities, technical expertise and resources of the Company/AOSL and Sadhav for jointly identifying, exploring and pursuing business opportunities, particularly in the marine and allied sectors serving the offshore oil and gas industry, and for undertaking projects arising therefrom. The proposed collaboration is expected to enable the parties to combine their respective strengths and capabilities and pursue opportunities in the offshore oil and gas sector. Upon completion of the proposed sale, the Company’s shareholding in AOSL shall be reduced from 100% to 74%, and AOSL will cease to be a wholly owned subsidiary (WOS) and will continue as a subsidiary of the Company.
