Filing of application to the Insurance Regulatory and Development Authority of India (“IRDAI”) for reclassification of Prudential Corporation Holdings Limited (“Prudential”) from ‘Promoter’ to ‘Investor’ In furtherance of the letter received from Prudential on May 17, 2026, which was in turn disclosed by the Company vide its disclosure dated May 17, 2026, the Company is in receipt of a letter dated July 5, 2026 from Prudential (“Request Letter”), pursuant to which Prudential has requested the Company to initiate the process for reclassification of Prudential from ‘Promoter’ to ‘Investor’ of the Company, as the terms are defined under the Insurance Regulatory and Development Authority of India (Registration, Capital Structure, Transfer of Shares and Amalgamation of Insurers) Regulations 2024 (“IRDAI Registration Regulations”), including the submission of an appropriate application to the IRDAI seeking its prior approval for such reclassification. The Board has considered and approved Prudential’s request for reclassification from ‘Promoter’ to ‘Investor’, subject to the requirement of obtaining prior approval of IRDAI as per the IRDAI Registration Regulations and other applicable laws. 2. Approval of proposal for change of name of the Company and filing of application to the IRDAI for change of name of the Company under the Insurance Act, 1938 and the IRDAI Registration Regulations In view of the proposed reclassification of Prudential from a ‘Promoter’ to an ‘Investor’ as mentioned above, the Board of Directors has considered alignment of the Company’s corporate identity with its post-reclassification promoter structure. Accordingly, the Board has approved the proposal for change of name of the Company from ‘ICICI Prudential Life Insurance Company Limited’ to ‘ICICI Life Insurance Limited’, subject to prior approval of IRDAI as per the IRDAI Registration Regulations and relevant approvals/ filings under the Companies Act, 2013, the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 and the rules and circulars prescribed thereunder.
