Dear Sir/Madam,
Pursuant to Regulation 30 read with Schedule III of the Securities and Exchange Board of
India (Listing Obligations and Disclosure Requirements) Regulations, 2015, as amended
("SEBI Listing Regulations"), we wish to inform you that one of the Company's recently
acquired overseas step-down subsidiaries ("Subsidiary") has been affected by a cyber-
enabled banking fraud, pursuant to which funds aggregating to approximately EUR 3.0
million (Euro three million) were fraudulently transferred to unauthorised third-party bank
account(s).This was done by using very advanced deep-fake methodologies like voice
cloning, signature forging, social engineering to impersonate our KMPs and get the transfers
done.
The Company and the Subsidiary are taking all necessary legal and operational measures to
safeguard their interests and recover the transferred funds. Recovery efforts are being
actively pursued in coordination with the relevant law-enforcement and cybercrime
authorities, the concerned banks and other stakeholders, and the matter remains under
investigation. The Subsidiary is covered under a cyber and crime insurance policy, and the
insurer has been notified of the incident. The Company is in the process of evaluating the
extent of insurance coverage and recoverability, and accordingly, the net financial impact of
the incident is presently being assessed and cannot be determined with certainty at this
stage.
The aforesaid incident occurred just prior to this weekend, and in view of the same, the
Company's immediate priority was to protect and safeguard the funds by initiating, on an

urgent basis, all necessary and time-sensitive actions, including engagement with the
concerned banks and the relevant law-enforcement and cybercrime authorities, so as to
maximise the possibility of recovery of the funds. The Company has accordingly undertaken
all such actions as were considered necessary in this regard. In view of the foregoing, and
the time required to ascertain the material facts surrounding the incident, there has been a
delay in making this disclosure, for which the Company seeks the forbearance of the Stock
Exchanges.
The Company took immediate action upon discovery of the matter and recovered EUR 0.45
million. With the swift action by the Company and advice of the relevant local authorities,
additional funds were traced, and those accounts have since been placed on hold by the
respective banks, reducing the amount at risk. The exact amount currently on hold is yet be
determined. .
Based on the information currently available, there is no evidence of any compromise of
customer data, employee data or the Company's technology infrastructure, and the
Company's business operations continue without any material disruption. At this point
therefore, we do not see this requiring us to modify or change any of the company’s annual
or other long term goals
The Company remains committed to extending its full cooperation to the investigating
authorities and will continue to provide updates on any material developments in relation
to this matter, in accordance with the applicable provisions of the SEBI Listing Regulations.
