Regulation 33(2)(b) of Listing Regulations, be read as: “The financial results submitted to the stock exchange shall be signed by the chairperson or managing director, or a whole-time director or in the absence of all of them; it shall be signed by any other director of the listed entity who is duly authorized by the board of directors to sign the financial results.” We wish to clarify that: • The Chairperson attended the meeting through Video Conferencing and, in compliance with Circular Ref. No. NSE/CML/2022/39 dated August 2, 2022, he did not sign the Financial Results. • The Company does not have a Managing Director or Whole-Time Director on its Board. • Pursuant to Regulation 33(2)(b), in the absence of the Chairperson, Managing Director, or Whole-Time Director, the Financial Results shall be signed by any other Director duly authorized by the Board. A certified copy of the Board Resolution is enclosed for your reference and records. Further regarding the delay in submission of financial results for the quarter ended June 30, 2026, under Regulation 30(6) of Listing Regulations, we would like to submit that, while submitting the financial results, we faced a technical glitch on the NEAPS site and hence there was a delay. As a matter of abundant precaution, we voluntarily brought the matter to the attention of your good office by sending an official communication to listingfr@nse.co.in. A copy of the said email is enclosed for your reference. We had submitted financial results with BSE within the stipulated timeline, and hence, there was no intentional delay on the Company’s part in submission of financial results to the NSE.
