Agreement ('BTA') with M/s. Hindustan Composites Limited ('HCL') for acquisition of its
friction business as a going concern on a slump sale basis along with prescribed disclosures
under Regulation 30 of SEBI LODR.
In this regard, we hereby inform that pursuant to fulfilment of the conditions precedent and
customary closing conditions, the said transaction has been completed today
i.e. August 20, 2026.
A press release being issued in this connection is enclosed.

Chennai, August 20, 2026 —
Rane (Madras) Limited (RML) today announced the successful completion of the
acquisition of the Friction Business of Hindustan Composites Limited (HCL).
The Business Transfer Agreement was signed on June 30, 2026 and was subject to
customary regulatory approvals and other closing conditions. With the conditions
having been fulfilled, the transaction has now been successfully completed.
HCL's Friction Business will be integrated into RML's Brake Components Business.
The acquisition strengthens RML's established leadership in the friction business.
The integration will proceed in a phased manner to maximize value for our customers
and stakeholders, driving operational synergies while leveraging the complementary
strengths of both businesses.
The acquisition is expected to be EPS accretive from the year one onwards, while
creating further opportunities for revenue and operational synergies.
