Issuance of Warrants by way of Preferential Allotment: In accordance with Chapter V of the Securities and Exchange Board of India (Issue of Capital and Disclosure Requirements) Regulations, 2018 (“SEBI ICDR Regulations”), following security are approved to be issued on a preferential basis (“Preferential Issue”) subject to the approval of the Members of the Company:  2,25,00,000 (Rupees Two Crore Twenty-Five Lakh Only) warrants, each carrying a right to subscribe to 1 (one) equity share at an exercise price of Rs 24.16/- (Rupees Twenty Four and sixteen paise only) per equity share aggregating to Rs 54,36,00,000 /- (Rupees Fifty-Four Crore Thirty-Six Lakh Only) to the persons belonging to the promoter group and public category. The details pursuant to Regulation 30 of the Securities and Exchange Board of India (Listing Obligations and Disclosures Requirements) Regulation, 2015 is enclosed herewith as Annexure-A. 2. Increase in the authorize share capital of the Company from Rs. 40,00,00,000/- (Rupees Forty Crores Only) divided into 4,00,00,000 (Rupees Four Crores Only) equity shares of face value of Rs. 10/- (Rupees Ten) each to Rs.57,00,00,000 /- (Rupees Fifty Seven Crores Only) divided into 5,70,00,000 (Five Crore and Seventy Lakhs Only) equity shares of face value of Rs. 10/- (Rupees Ten) each and consequent alteration of Capital clause of Memorandum of Association of the Company relating to share capital of the Company, subject to the Shareholders’ approval. 3. Annual General Meeting and Book Closure dates:  The 38th Annual General Meeting ("AGM") of the Members of the Company will be held on Friday, September 18, 2026 at 11.30 a.m. via Video Conference (“VC”) / Other Audio Visual Means (“OAVM”).  The Register of Members and Share Transfer Books of the Company will remain closed from Saturday, September 12, 2026 to Friday, September 18, 2026 (both days inclusive) for taking record of the Members of the Company for the purpose of above referred Annual General Meeting and the Cut- off date for E-Voting shall be September 11, 2026.  Appointment of M/s.
