Ref: Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, as amended read with SEBI master circular dated the 30th January, 2026. Dear Sir/Madam, This is with reference to the captioned matter and pursuant to the compliance of Regulations 30 and other applicable provisions of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, as amended (“Listing Regulations”) read with SEBI master circular dated the 30th January, 2026. The Board of Directors at their meeting held today i.e. the 20th August, 2026 have noted/ approved the following: 1. During the reconstitution of the present Board (on the 03rd February, 2026 and 05th February, 2026), the erstwhile Board had represented and/or informed them that there are no fraudulent, irregular, undisclosed or undervalued transactions etc. in the Company and that the affairs of the Company are being handed over as a “clean slate”, without any material transaction requiring investigation or further examination on account of fraud, diversion of funds, undervaluation or similar concerns. Upon the reconstitution of the Board, the present Board have undertaken a preliminary review of the affairs, books and records, financial transactions, borrowings, utilisation of funds, related party transactions and other material transactions etc. undertaken by or involving the Company during the preceding years and it was identified that certain transactions were executed which appear to involve possible undervaluation, illegal transactions with related or connected parties, transactions undertaken without adequate documentary support or requisite approvals, utilisation of borrowed funds for purposes other than the purposes for which such funds were sanctioned and possible diversion or misapplication of funds, transactions concerning customer receipts and amounts required to be deposited in designated/project-specific accounts including RERA accounts etc. The appointment of M/s SLO Technologies Private Limited (AdvaRisk) as Forensic Auditor and initiation of the Forensic Audit, w.e.f the 19th August, 2026, for the aforesaid transactions for the period commencing from the 01st April 2016 to 31st March 2026. AdvaRisk (a division of SLO Technologies Private Limited) was set up by a team of finance professionals with an objective of minimizing the impact of fraud for financial institutions such as banks, NBFC, private equity investors & other investors. Cancellation of earlier Resolutions passed by the erstwhile Directors of the Company at their meeting held on the 03rd November, 2021 (Modification of Resolution passed by Directors on the 27th May, 2019) in respect of authorisations to Shri Dhirendra Singh S/o Shri Virender Bahadur Singh, Shri Devendra Kumar Agrawal S/o Suresh Chand Agrawal and Shri Inder Goel S/o Bajrang Dass for signing, executing and presenting the sale deed(s)/ conveyance deed(s) in respect of Sushant Taj City, Agra Project of the Company. 3. Authorisation to Shri Shreesh Asthana S/o Shri Tejendra Narayan Asthana and Shri Sandeep Mishra S/o Brij Bhushan Mishra to do all the acts, deeds and thing, as may be necessary, for signing, executing and presenting the sale deed(s)/ conveyance deed(s) in respect of Sushant Taj City, Agra Project of the Company. Thanking you, Yours faithfully, For Ansal Properties & Infrastructure Ltd. 1) Vide Hon’ble NCLAT order dated the 07th January, 2026, Corporate Insolvency Resolution Process under Insolvency and Bankruptcy Code, 2016 has now been confined to Lucknow and Rajasthan projects (as per settlement agreement dated 03rd March, 2022 between IL&FS Financial Services Limited and Ansal Properties and Siddharth Goenka Infrastructure Limited) of the Company in CP No.: IB 558(ND)/2024. These Projects are Whole Time Director currently managed by Shri Navneet Kumar Gupta, Resolution Professional. (DIN: 11524566) 2) The Serene Residency Group Housing Project of APIL, situated at Sector ETA –II, Greater Noida, U.P, is also managed by Shri Navneet Kumar Gupta, Resolution Professional of said Project. The Resolution Plan of the said project was approved by Hon'ble National Company Law Tribunal (NCLT), New Delhi, Bench II on the 06th October, 2025. 3) The Fernhill Project of APIL, situated at District Gurgaon, Haryana, is managed by Shri Jalesh Kumar Grover, Resolution Professional of the said Project.
