Adtran Networks SE is a German telecommunications company headquartered in Munich, Germany, that specializes in open optical transport networking, secure data transmission, and network synchronization solutions. As per the arrangement, Adtran Networks SE will provide hardware, software products and related services, including maintenance services for products and software purchased by the Company. The agreement also sets out the applicable terms relating to ordering, pricing and payment, delivery, licensing, warranty, maintenance services, intellectual property, confidentiality, compliance and other commercial terms. The Framework Terms and Conditions govern the purchase of products and provision of services by Adtran Networks SE and its affiliates to Praruh Technologies Limited and its eligible affiliates. The arrangement covers the sale and supply of products and provision of services, including maintenance and related support services, as may be agreed between the parties from time to time through applicable quotations and purchase orders. The Framework Terms and Conditions have been executed by Praruh Technologies Limited on August 11, 2026. The terms become effective upon the date of the last signature and shall continue for an initial period of two (2) years, following which they shall automatically renew for additional one-year terms, subject to the terms and conditions contained therein. The arrangement is entered into in the ordinary course of business and on an arm's length basis. There is no promoter/promoter group interest in Adtran Networks SE in relation to this arrangement.
