Sub: Intimation under Regulation 30 of Securities and Exchange Board of India (Listing Obligations
and Disclosure Requirements) Regulations, 2015 – KIMS entered into an Operations and Management
Agreement and Call Option Agreement with Aurevia Hospitals Private Limited (Formerly known
as Golden Lan Solution Private Limited), Hyderabad, Telangana.
Pursuant to Regulation 30 of the Securities and Exchange Board of India (Listing Obligations and Disclosure
Requirements) Regulations, 2015, we would like to inform you that Krishna Institute of Medical Sciences
Limited (“the KIMS”), has entered into an Operations and Management Agreement (the “ O & M
agreement”) with Aurevia Hospitals Private Limited (Formerly known as Golden Lan Solution Private
Limited) (“the AHPL”)for an initial term of 5 years with an extension for a further period of 5 years on an
exclusive basis, to run, manage, operate, direct and control the Arete Hospitals (“the Arete”) which AHPL
has acquired vide Business Transfer Agreement (BTA) dated 03.07.2026. KIMS has agreed to provide the
Medical Services at Arete in accordance with the terms and conditions as mentioned under O & M agreement.
KIMS has also entered into Call Option Agreement with AHPL which will give KIMS an option but
not an obligation to acquire the business, if found suitable subject to such terms and conditions and
at such price as are set out in the definitive documents.
The requisite disclosure as per SEBI Listing Regulations read with SEBI Master Circular No.
HO/49/14/14(7)2025-CFD-POD2/I/3762/2026 dated January 30, 2026 , is enclosed as Annexure-A to this
letter.

of Agreement: Solution Private Limited) (‘AHPL’), is a company incorporated and
existing under the Companies Act, 2013 and having its registered office
at 8-2-293/82/L/300/A, MLA Colony, Road No.12, Banjara Hills, Film
Nagar, Hyderabad, Shaikpet, Telangana, India, 500096.
AHPL has acquired the Hospital Business of Arete Hospitals through
Business Transfer Agreement (BTA) dated 03.07.2026.
Arete is a multispecialty hospital in Gachibowli, Hyderabad. Located in
the heart of Cyberabad’s prominent software and IT hub, the hospital
provides primary, secondary, and tertiary care across diverse medical
and surgical specialties.
The state-of-the-art healthcare facility is equipped with an operational
capacity of approximately 250 beds, offering advanced medical
infrastructure to cater to the growing demand for comprehensive
healthcare services in the region.
Therefore, under the proposed O&M terms, AHPL intends to engage
KIMS as the exclusive operator to manage, run, operate, direct, and
control the hospital operations, and to provide or facilitate the provision
of the medical services as outlined in the relevant schedule of the
Agreement.
f Details of consideration paid/ In consideration for the medical services fees and in accordance with
received in agreement / JV the terms of this Agreement, KIMS is entitled to receive revenue fee
of 9% (Nine percent) of the total Net Revenue of the Hospital.

concessions and discounts offered to the patient.

give the KIMS an option but not an obligation to acquire the business if
found suitable subject to such terms and conditions and at such price as
are set out in the definitive documents.
