THROUGH VIDEO CONFERENCING (“VC”)/OTHER AUDIO VISUAL MEANS (“OAVM”) CONCLUDED AT 12:23 P.M. The 18th Annual General Meeting (AGM) of the Members of Campus Activewear Limited (‘the Company’) was held on Thursday, 20th August 2026 at 11:00 A.M. (IST) through Video Conferencing (VC)/Other Audio-Visual Means (OAVM), in accordance with the applicable provisions of the Companies Act, 2013, the rules made thereunder, the applicable circulars issued by the Ministry of Corporate Affairs and the applicable provisions of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015. Total Members attended the meeting through Video Conferencing: 220 Members Directors and KMP’s present through Video Conferencing: 1. Mr. Hari Krishan Aggarwal, Chairman and Managing Director, Member of Corporate Social Responsibility Committee and Stakeholder’s Relationship Committee. 2. Mr. Nikhil Aggarwal, Whole-time Director and CEO, Member of Corporate Social Responsibility Committee, Stakeholders’ Relationship Committee and Risk Management Committee 3. Mr. Anil Kumar Chanana, Non-Executive Independent Director, Chairman of Audit Committee and Risk Management Committee 4. Mr. Nitin Savara, Non-Executive Independent Director, Chairman of Nomination and Remuneration Committee and member of Audit Committee and Risk Management Committee 5. Mrs. Madhumita Ganguli, Non-Executive Independent Director, Chairperson of Corporate Social Responsibility Committee and member of Nomination and Remuneration Committee 6. Mr. Jai Kumar Garg, Non-Executive Independent Director, Chairperson of Stakeholders’ Relationship Committee and member of Audit Committee and Nomination and Remuneration Committee 7. Mr. Rakesh Thakur, Chief Financial Officer and Member of Risk Management Committee. 8. Ms. Archana Maini, General Counsel and Company Secretary and Compliance Officer Apart from them, Authorized Representatives of M/s B S R and Co, Statutory Auditors and M/s ATG & CO., Secretarial Auditors and Mr. Mukul Tyagi, Scrutinizer were present through VC. BRIEF DETAILS OF DELIBERATIONS AT THE MEETING: Ms. Archana Maini, General Counsel & Company Secretary and Compliance Officer welcomed the members to the 18th AGM of the Company on behalf of the Board of Directors of Campus Activewear Limited and informed that the AGM was being conducted through Video Conferencing in compliance with the applicable provisions of the Companies Act, 2013, the applicable circulars issued by the MCA and the applicable regulatory framework of SEBI. She informed the shareholders that the soft copy of the Annual Report for the FY 2025-26 has been sent electronically to all the members whose email addresses were registered with the Depository Participants or are registered with the Company’s RTA for communication purpose. In cases where the e-mail addresses of the Members were not registered or available, a letter containing the requisite details and the exact path for accessing the Annual Report was dispatched to their registered postal addresses. Thereafter, Ms. Archana Maini invited Mr. Hari Krishan Aggarwal, Chairman and Managing Director to take the chair and conduct the proceedings of the Meeting. Chairman welcomed the members participated at the 18th Annual General Meeting and thanked them for participating in the Meeting through Video Conferencing facility. The requisite quorum being present, the Chairman called the meeting to order. The Chairman thereafter requested Ms. Archana Maini to introduce the Directors, Key Managerial Personnel and other officials present at the Meeting and to further conduct the proceedings of the meeting. Thereafter, Ms. Archana Maini requested Mr. Hari Krishan Aggarwal, Chairman and Managing Director of the Company, to address the Members and deliver his Chairman’s Speech. Ms. Archana Maini informed the Members that the Notice convening the 18th Annual General Meeting, together with the Audited Financial Statements of the Company for the financial year ended 31st March 2026 and the Directors’ Report thereon, had been circulated to the Members and were taken as read. She further informed the Members that, since the Auditor’s Report on the financial statements of the Company and the Secretarial Auditor’s Report contained no qualifications, observations or comments on financial transactions or matters having any adverse effect on the functioning of the Company, the said reports were not required to be read at the meeting. She also informed the Members that the statutory registers and other statutory records of the Company were available for inspection by the Members until the conclusion of the Meeting. Thereafter, Ms. Maini opened the 'Questions & Answers' (Q&As) session for the members who had registered themselves as 'speaker' to ask questions or express their views and queries. The moderator called the names of the members who had registered themselves as speakers to express their views and queries. The questions and clarifications raised by the Members were addressed by Mr. Nikhil Aggarwal, Whole-time Director and Chief Executive Officer. Further, Mr. Nikhil Aggarwal addressed certain questions received from the shareholders via email and informed the members that all other queries raised by the shareholders would be duly addressed. The members expressed their satisfaction on the performance of the Company and reiterated their confidence in the Company, its Directors and Management. Ms. Archana Maini further informed the members that the Company had provided the remote e-voting facility to the members which commenced at 9:00 A.M. on 17th August 2026 and ended at 5:00 P.M. on 19th August 2026 to cast their votes on all the resolutions set forth in the AGM Notice. Members who were participating in the meeting and had not cast their votes through remote e-voting were provided an opportunity to cast their votes through e-voting facility provided at the meeting through VC. Ms. Archana Maini explained to the Members the procedure for casting votes through the e-voting mechanism provided by NSDL. She further informed the Members that Mr. Mukul Tyagi, Company Secretary in Practice of M/s ATG & Co., Company Secretaries, had been appointed as the Scrutinizer to scrutinize the e-voting process in a fair and transparent manner. The Members were also informed that the e-voting facility would be activated by the Moderator for a further period of 30 minutes after the conclusion of the Meeting, enabling the Members who had not cast their votes through remote e-voting to cast their votes on the resolutions set out in the Notice dated 25th May 2026. She further informed the Members that the voting results would be declared within the prescribed statutory timelines and would be made available in accordance with the applicable regulatory requirements.
