Dear Sir / Madam,
In continuation of our earlier intimations dated May 22, 2026, regarding the proposed Rights
Issue of the Company, and pursuant to the in-principle approval granted by the BSE Limited
("BSE"/ the "Stock Exchange") vide its letter dated August 14, 2026, we wish to inform you that
the Rights Issue Committee of the Board of Directors of the Company ("RIC"), at its meeting held
today, i.e., August 19, 2026, has considered and approved the Letter of Offer containing the
terms and conditions of the proposed Rights Issue of the Company, subject to applicable laws,
regulations, circulars, guidelines, and requisite approvals, as may be applicable.
The key terms approved by RIC are as follows:
1. Instrument
Issue of up to 82,61,402 Partly Paid-up 10% Non-Cumulative Non-Participating Compulsorily
Convertible Preference Shares (“CCPS”), having a face value of ₹100/- each, issued at an issue
price of ₹100/- per CCPS, on a rights basis to the Eligible Equity Shareholders of the Company
as on the Record Date.
Further, 1 (One) partly paid-up detachable warrant (“Warrant”) shall be issued at an issue
price of ₹10/- per Warrant along with every 1 (One) CCPS, with such Warrant being attached
to and issued simultaneously with each CCPS. Hence, the Company will issue up to 82,61,402
Warrants.
The CCPS and Warrants are collectively referred to as the “Rights Securities”.
2. Issue Size
Issue of up to 82,61,402 CCPS and 82,61,402 Warrants aggregating up to ₹ 9,087.55 Lakhs, in
accordance with the terms of the Issue and the Letter of Offer to be issued by the Company.

The final number of Rights Securities and the aggregate amount of the Issue shall be subject
to the finalisation of the Basis of Allotment and applicable regulatory requirements.
3. Issue Price
The issue price of each CCPS shall be ₹ 100/- per CCPS, comprising:

Each detachable Warrant shall be issued at an issue price of ₹ 10/- per Warrant.
4. Payment Terms – CCPS
The amount payable towards each CCPS shall be as follows:

Balance amount payable pursuant to one or more calls within 60 ₹ 50
months from the date of allotment of CCPS, as may be called by
the Company
Total ₹ 100
Each CCPS, upon becoming fully paid-up, shall be compulsorily converted into 1 (One) Equity
Share of the Company upon completion of 60 months from the date of allotment or such
earlier date as may be determined by the Board, subject to applicable laws and the terms of
the Issue.
5. Payment Terms – Warrants
The amount payable towards each Warrant shall be as follows:

Upon conversion, within 18 months from the date of allotment of ₹ 5
Warrants, as may be called by the Company
Total ₹ 10
Each Warrant, upon receipt of full consideration and in accordance with its terms, shall be
converted into 1 (One) Equity Share of the Company.
Accordingly, the total amount payable on application shall be ₹ 55 per Rights Security,
comprising ₹ 50 towards each CCPS and ₹ 5/- towards the accompanying Warrant.

6. Rights Entitlement Ratio
The Eligible Equity Shareholders of the Company holding fully paid-up Equity Shares as on the
Record Date shall be entitled to the Rights Securities in the following ratio:
“7 CCPS along with 7 detachable Warrant(s) for every 40 fully paid-up Equity Shares held as
on the Record Date”.
7. Record Date
The RIC has approved August 25, 2026, as the Record Date for determining the Equity
Shareholders of the Company who shall be eligible to receive the Rights Entitlement in the
Issue.
The Record Date shall be subject to the applicable notice requirements under the SEBI Listing
Regulations and confirmation/processing by the Stock Exchange and other relevant
intermediaries.
8. Rights Entitlement
The Rights Entitlement shall be credited in dematerialised form to the demat accounts of the
Eligible Equity Shareholders, subject to applicable laws and the prescribed procedures.
Eligible Equity Shareholders shall have the right to apply for the Rights Securities in
accordance with their Rights Entitlement and the terms set out in the Letter of Offer.
The Rights Entitlements shall be separately credited/transferred and shall be capable of
renunciation, subject to the applicable regulatory framework and the terms of the Issue.
9. Rights Issue period
Last date for credit of Rights Entitlements August 26, 2026
Issue Opening Date September 2, 2026
Last Date for on Market Renunciation of Rights Entitlements* September 7, 2026
Issue Closing Date^ September 10, 2026
* Eligible Equity Shareholders are requested to ensure that renunciation through off-market transfer is completed in such a
manner that the Rights Entitlements are credited to the demat account of the Renouncees on or prior to the Issue Closing Date.
^ Our Board or a duly authorized committee thereof will have the right to extend the Issue period as it may determine from time
to time but not exceeding 30 (thirty) days from the Issue Opening Date (inclusive of the Issue Opening Date). Further, no
withdrawal of Application shall be permitted by any Applicant after the Issue Closing Date.
10. Listing of Rights Securities
The existing Equity Shares of the Company are listed on BSE.

The Company has received an in-principle approval from BSE for the proposed Rights Issue
vide its letter dated August 14, 2026.
The Company shall make the necessary applications to BSE and comply with all applicable
requirements for listing and commencement of trading of the Rights Securities, including the
Equity Shares arising upon conversion of the CCPS and Warrants, as and when applicable.
The detailed terms and conditions of the Rights Issue shall be set out in the Letter of Offer and
other Issue documents to be issued by the Company.
The meeting of the RIC commenced at 06:00 p.m. (IST) and concluded at 08:46 p.m. (IST).
This intimation will also be hosted on the website of the Company i.e. www.quintdigital.in.
