Pursuant to the provisions of Regulation 30 read with Regulation 33 of the SEBI (Listing
Obligations and Disclosure Requirements) Regulations, 2015, we wish to inform you that the
Board of Directors of the Company, at its meeting held on Monday, i.e. 06th July, 2026, at
04:00 P.M., has inter-alia considered and approved the following item of business:
1. Appointment of Ms. Nimisha Jain as an Additional Director in the category of
Non-Executive Independent Director, on the board of the Company for a 1st consecutive
term of Five years from 06th July, 2026 to 05th July, 2031 subject to the approval of the
shareholders of the Company at the ensuing Annual General Meeting, in accordance with
applicable provisions of the SEBI (Listing Obligations and Disclosure Requirements)
Regulations, 2015.
Disclosures regarding the same as required under Regulation 30 of the SEBI (Listing
Obligations and Disclosure Requirements) Regulations, 2015 read with SEBI Master Circular
HO/49/14/14(7)2025-CFD-POD2/I/3762/2026 issued on 11th July, 2023 and last updated on
30th January, 2026 are mentioned in Annexure A.
The meeting commenced at 04.00 P.M. and concluded at 04:30 P.M.

organisations such as TCS and HCL. She
has also contributed to training and
development in the education sector.
Her experience across multiple boards
and corporate functions reflects her
familiarity with regulatory requirements,
governance standards, and fiduciary
responsibilities applicable to Independent
Directors.
She does not, to the best of available
information, appear to have any
disqualifications under the Companies
Act, 2013, and is capable of exercising
independent judgment in the interest of
the Company.
Accordingly, she satisfies the criteria of
independence as envisaged under Section
