With reference to your observation regarding the delay in disclosure of the Outcome of the Board Meeting under Regulation 30(6) of the SEBI (LODR) Regulations, 2015, we wish to clarify as follows: The Company has been undergoing Corporate Insolvency Resolution Process (CIRP) with effect from 01 September 2025. Accordingly, the affairs and management of the Company are being conducted in accordance with the provisions of the Insolvency and Bankruptcy Code, 2016, under the supervision of the Resolution Professional. Further, we wish to clarify that no meeting of the Board of Directors was held on 14 August 2026. The financial statements referred to in the corporate announcement were signed by the Resolution Professional in his capacity pursuant to the ongoing CIRP and were not approved at any meeting of the Board of Directors. Accordingly, the provisions relating to disclosure of the outcome of a Board Meeting within 30 minutes/3 hours from the closure of the Board Meeting are not applicable in the present case, as no Board Meeting was convened or held on 14 August 2026.
