This is in furtherance of our letter dated 02.06.2026 regarding Notice of Postal Ballot (‘Notice')
dated 25.05.2026 issued to the members of the Company seeking approval of the items set out
in the notice. We are pleased to inform you that the members of the Company have passed a
resolution as set out in Notice.
The remote e-voting period under the said Postal Ballot Notice was ended on Friday, 3rd July,
2026 at 5.00 P.M. and thereafter, the Scrutinizer - Mr. Kinjal Shah, Practicing Company
Secretary, Ahmedabad has submitted his report to the Whole-time Director duly authorised
by the Board on 6th July, 2026. Accordingly, as required under Regulation 44(3) of the SEBI

Sub.: Scrutinizer Report on Postal Ballot
The Board of Directors of Shree Rama Ne~rint Limited (hereinafter referred to as
"Company"), through Resolution passed on May 25, 2026 appointed the undersigned as
Scrutinizer to ensure that the process of Postal Ballot as prescribed under Section 110 of the
Companies Act, 2013 (hereinafter referred to as "Act") read with the Companies (Management
and.Administration) Rules, 2014 (hereinafter referred to as "Rules") is complied with.
fn terms of Section.110 and all other applicable provisions, if any, of the Companies Act, 2013
(the "Act"), read together with Rules 20 and 22 of the Companies (Management and
Administration) Rules, 2014 (including any statutory modification(s} or re-enactment(s)
thereof, for the time being in force) ("Rules"), Regulation 44 of the Securities and Exchange
Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 (the "SEBI
Listing Regulations''), Latest General Circular Nos. 03/2025 September 22, 2025 issued by the
Ministry of Corporate Affairs, Government of India ('MCA Circulars'), Company cart take all the
decisions requiring members' approval, other than items of ordinary business or business
where any person has a right to be heard, through, the mechanism of postal ballot/e-voting in
accordance with the provisions of the Act and rules made thereunder, without holding a general
meeting.
The Company has accordingly sent Postal Ballot Notice by email. to all its Members of the
Company for passing 1 (One) Special Resolution for the special businesses as mentioned in the
notice of postal ballot dated May 25, 2026. The Postal Ballot Notice and instructions fore-voting
are being sent only through electronic mode to those Members whose email address is
registered with the Company / Depository Participant(s). The Company had engaged the
services of National Securities Depository Limited ("NSDL"), for the purpose of providing
remote e-voting facility to all its Members. This Postal Ballot is accordingly being initiated by
the Company in compliance with the MCA Circulars. The remote e~voting portal remained open
for voting from Thursday, June 4, 2026 at 9:00 Hours 1ST and ends on Friday, July 3, 2026 at
17:00 Hours 1ST both days inclusive. The Members of the Company holding shares either in
physical form or dematerialized form, as on the cut-off date i.e. Friday, May 29, 2026 were
entitled to vote on the resolutions (item no. 1 as set out in notice of postal ballot dated May 25,
2026).
A public notice in newspaper informing the members about dispatch of notice and
commencement of postal ballot was published on June 3, 2026. Members have been informed
that those shareholders who were members of the Company as on cut-off date, i.e. Friday, May
29, 2026, and who have not, received notice of postal ballot and postal b<Jllot form can request
for a duplicate copy of postal ballot notice, if so required, and the postal ballot notice and postal
ballot form can be downloaded from the website of the C rpa~•Wt:ebsite ofNSDL.

The Members were required to cast their vote online through remote e-voting on or before
Friday, July 3, 2026 at 17:00 Hours IST on the basis of User-id and password provided to them
by NSDL.
Remote e-voting register was kept bearing particulars of names, address, folio nos. of shares
along with assent and dissent was recorded herein. Summary of the remote e-voting with their
pattern of voting is as per Annexure-A.
As per Section 110(2) of the Companies Act, 2013 read with Secretarial Standards on General
Meeting (SS-2) issued by the Institute of Company Secretaries of India, if a resolution is assented
to by a requisite majority of the shareholders by means of Postal Ballot, it shall be deemed to
have been duly passed on the last date specified for remote e-voting.
The term "requisite majority" which refers to the con.text of ordinary resolution and special
resolution as defined under section 114 of the Act, tneans:
a) Intention to propose the resolut.ion as ordinary/ special resolution duly specified in the
notice as the case may be
b) Notice required under the Act was duly given
c) The votes cast in favour of the resolution is more than the votes cas
