This is in relation to the Rights Issue and further to our intimation dated July 03, 2026 regarding the issuance of the Final Reminder Cum Forfeiture Notice ( “Final Reminder Notices”) to the holders of partly paid up equity shares who have not yet paid the pending First Call Money (if any) and Second and Final Call Money (“Call monies”), as applicable, in respect of the partly paid-up Rights Equity Shares of the Company. In this regard, the Rights Issue Committee of the Board of Directors by way of Circular Resolution passed today, i.e. August 19, 2026, has approved the conversion of 2,79,582 partly paid-up Rights Equity Shares into fully paid-up equity shares of face value of Rs. 10 per equity share of the Company bearing ISIN INE624Z01016 (“Converted Rights Equity Shares”), comprising: • 2,23,051 Rights Equity Shares of face value of Rs.10 each, having Rs. 262.50/- paid per share (comprising Rs.7/- towards face value and Rs.255.50/- towards premium) bearing ISIN- IN9624Z01022, in respect of which the Second and Final Call monies of Rs.112.50/- paid per share (comprising Rs.3/- towards face value and Rs. 109.5/- towards premium) was received; • 56,531 Rights Equity Shares of face value of Rs.10 each, having Rs.131.25/- paid per share (comprising Rs.3.50/- towards face value and Rs.127.75/- towards premium) bearing ISIN- IN9624Z01014, in respect of which the First Call Money and Second and Final Call monies of Rs. 243.75/- paid per share (comprising Rs.6.5/- towards face value and Rs. 237.25/- towards premium) was received. The Company shall take the necessary steps for giving effect to the requisite corporate actions and obtaining listing and trading approvals in respect of the Converted Rights Equity Shares. As on date, the paid-up capital of the Company is Rs. 48,16,16,569/- divided into 4,80,81,817 fully paid-up equity shares having a face value of Rs.10/- each bearing ISIN INE624Z01016, 59,419 equity shares of Rs.7/- partly paid-up bearing ISIN IN9624Z01022 and 1,09,276 equity shares of Rs.3.50/- partly paid-up bearing ISIN IN9624Z01014.
