Accordingly, the Board of Directors of the Company, by way of a resolution passed through circulation on August 18, 2026, has appointed Shri Manoneet Dalal (DIN:10059661) as Non-Official Director (Independent Director) on the Board of the Company for a period of 3 (Three) years w.e.f. August 18, 2026 or until further order, whichever is earlier. Further, as per declaration received from Shri Manoneet Dalal (DIN:10059661), he is not debarred from holding the office of Director by virtue of any SEBI Order or any other such authority. He is a Director of Hexa Advisors Limited, a specialised advisory firm focused on financial modelling, valuation and cross-border transaction advisory. He has previously held senior positions with Deloitte Haskins & Sells and Ernst & Young. He has contributed to public policy research and has authored books and research papers on taxation and international trade law. 4.
