Dear Sir/Madam,
This has reference to our letter dated June 05, 2026, inter alia, informing dispatch of Notice of Postal
Ballot dated May 25, 2026 (“Notice”). We hereby inform that, pursuant to the provisions of Section
110 of the Companies Act, 2013 (“Act”) read with the Companies (Management and Administration)
Rules, 2014 (“Rules”), the Company conducted the process of Postal Ballot through remote e-voting
facility, to seek approval of the Members for ratification of “KSH Employee Stock Option Scheme
2025”.
The Board had appointed Mrs. Ashwini Mohit Inamdar (Membership No. F9409) or failing her, Mr.
Atul Mehta (Membership No. F5782), Partner, M/s. Mehta & Mehta, Practicing Company Secretaries
(ICSI Unique Code: P1996MH007500), as the Scrutiniser for conducting the process of remote e-voting
in accordance with the provisions of the Act and Rules, in a fair and transparent manner.
The above-mentioned resolution has been approved by the Members with requisite majority. Pursuant
to Regulation 44(3) of the Listing Regulations and Section 108 of the Act read with Rule 20 of the
Rules, we submit herewith the Scrutiniser's Report dated July 06, 2026 along with the voting results of
the Postal Ballot and the same shall be hosted on Company’s website at
www.kshinternational.com/investor-relations and the website of MUFG Intime at
https://instavote.linkintime.co.in/.

Sub: Scrutinizer’s Report on voting through E-voting for Postal Ballot in terms of
Section 108 and 110 of the Companies Act, 2013 read with Rule 20 and 22 of the
Companies (Management and Administration) Rules, 2014
Dear Sir,
I, Ashwini Inamdar, Practising Company Secretary and Partner of M/s. Mehta &
Mehta, Company Secretaries, was appointed by the Board of Directors of the Company
as the Scrutinizer for the purpose of conducting the Postal Ballot through remote e-
voting, pursuant to the provisions of Sections 108 and 110 and other applicable
provisions, if any, of the Companies Act, 2013 (‘the Act’), read with Rules 20 and 22 of
the Companies (Management and Administration) Rules, 2014, Regulation 44 of the
Securities and Exchange Board of India (Listing Obligations and Disclosure
Requirements) Regulations, 2015 (‘Listing Regulations’), the Secretarial Standards on
General Meetings (SS-2) issued by the Institute of Company Secretaries of India, and
the applicable circulars and guidelines issued by the Ministry of Corporate Affairs
(MCA). The Postal Ballot was conducted in a fair and transparent manner in respect
of the resolution(s) set out in the Notice of Postal Ballot dated May 25, 2026, and I

hereby submit my report as under:
1. The Notice of Postal Ballot (“Notice”) was dispatched to the Members of the
Company vide e-mail on Friday, June 05, 2026.
2. The remote e-voting period commenced from 9.00 a.m. (IST) on Saturday, June 06,
2026 and ended at 5.00 p.m. (IST) on Sunday, July 05, 2026.
3. The remote e-voting facility was provided by MUFG Intime India Private Limited
(MUFG).
4. The Notice of Postal Ballot was sent in electronic form only to all the shareholders
whose email addresses are registered with Registrar to an Issue and Share
Transfer Agent (RTA) / Depository Participants. The hard copies of the Notice
along with Postal Ballot forms and pre-paid business envelope were not sent to
the Members for the Postal Ballot in accordance with the requirements specified
under the MCA Circulars. Accordingly, the communication of the assent or
dissent of the Members took place through the remote e-voting system only.
5. The Members of the Company holding shares as on the “Record date”/ “Cut-off
date” i.e., Friday, May 29, 2026 were entitled to vote on the proposed resolutions.
6. The result of the scrutiny of the above postal ballot through remote e-voting in
respect of passing of resolutions contained in the Notice dated Monday, May 25,
2026 are enclosed in Annexure-I.
7. The register, in accordance with Rule 20 (4)(xiv) and Rule 22 (10) of the Companies
(Management & Administration) Rules, 2015, has been maintained electronically
to record the assent or dissent received, mentioning the particulars of name,
address, folio number or client ID of the shareholders, number of shares held by
them. There were no shares with differential voting rights in the Company, hence
