This is with reference to our earlier disclosure dated July 29, 2025, February 20, 2026 and March 13, 2026, regarding the Scheme of Amalgamation of Aureustech Systems Private Limited (Wholly Owned Subsidiary–Transferor Company) and Happiest Minds Technologies Limited (Holding Company–Transferee Company) and their respective Shareholders and Creditors (Scheme), under the provisions of Sections 230 to 232 and other applicable provisions of the Companies Act, 2013 read with the Rules framed thereunder. Pursuant to Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, we hereby inform you that the Hon’ble National Company Law Tribunal, Bengaluru Bench vide its order dated August 10, 2026, has approved the Scheme as aforesaid. The Appointed Date for the said merger is April 1, 2026. The Certified True Copy of the said order has been received by the Company on August 18, 2026, which is enclosed herewith.
