Sub: Submission of the Annual Report for the financial year ended March 31, 2026.
The Twenty Seventh Annual General Meeting (“AGM”) of the Company is scheduled to be held on
Friday, September 11, 2026 at 4.00 p.m. (IST) through Video Conferencing (VC) or Other Audio
Visual Means (OAVM) to transact the business, set out in the Notice convening the AGM in
compliance with all applicable provisions of the Companies Act, 2013 (the “Act”) and the Rules made
thereunder read with Ministry of Corporate Affairs (MCA) General Circular Nos. 14/2020 dated April
8, 2020, 17/2020 dated April 13, 2020, 20/2020 dated May 5, 2020 and subsequent circulars issued in
this regard, the latest being 03/2025 dated September 22, 2025 (collectively referred to as “MCA
Circulars”).
Pursuant to Regulation 34 of the Listing Regulations, we enclose herewith a copy of the Annual Report
along with Notice of the AGM and other Statutory Reports for the financial year ended March 31,
2026.
In compliance with the MCA Circulars read with Regulations 36(1) and 44 of the Listing Regulations,
the Annual Report including the Notice of AGM is being sent ONLY through electronic mode, to
those Members holders whose e-mail addresses are registered with the Company/Registrar and
Transfer Agent/Depositories. The Company will be sending physical letters, providing the weblink,
including the exact path where complete details of the Annual Report including the Notice of AGM are
available, to those shareholder(s) who have not registered their e-mail address with the
Company/Registrar and Transfer Agent/Depositories. It is also uploaded on the Company’s website

At Speciality Restaurants Limited, FY 2025-26 was a year of steady, profitable
progress - shaped by the strength of our brands, the discipline of our operating model
and the trust of guests who have grown with us across generations. Under the theme
Savouring Growth, we celebrate progress that is deliberate: growth that deepens
relevance, sharpens execution and creates enduring value.
The opportunity before India's food-services sector is substantial. Kearney and Swiggy
estimate that the market could expand from about US$78 billion in 2025 to more than
US$125 billion by 2030, with organised players driving over 60% of the incremental
growth. NRAI's 2024 study similarly points to faster formalisation, with organised food
services projected to grow at 13.2% annually through 2028. For trusted, experience-led
brands, this is not simply a larger market; it is an invitation to earn a larger place in the
lives of consumers.
A year of earned progress
During FY 2025-26, consolidated revenue from operations increased 9.22% to Rs 476.47
crore. Consolidated profit after tax was Rs 20.72 crore, after absorbing an exceptional
employee-benefit charge of Rs 3.34 crore. The Company completed its nineteenth
consecutive profitable quarter in Q4FY26, while the Board recommended a dividend of
Rs 1 per equity share.
The year also demonstrated the breadth and adaptability of our portfolio. As of March 31,
2026, our network comprised of 121 restaurants and confectioneries including some
franchised units, spanning legacy destinations, contemporary dining formats and cloud
kitchens. The portfolio continued to be led by Mainland China and Asia Kitchen by
Mainland China, complemented by Oh! Calcutta, Sweet Bengal, Siciliana, GONG,
Sigree, Walters and other distinctive concepts.

Our omnichannel model continued to mature. In FY25-26, delivery represented 27.74%
of relevant standalone sales, while dine-in remained the larger channel - reinforcing our
belief that convenience and experience are complementary rather than competing
propositions.
The next course of growth
As we move into FY 2026-27, our ambition is clear: to build a more scalable,
contemporary and resilient restaurant company without diluting the authenticity that
makes each brand distinctive. Our priorities are anchored in five commitments:
• Elevate every guest experience – combine warm hospitality, consistently
excellent food and more personalised engagement across every channel.
• Scale with discipline – expand priority brands through carefully chosen locations,
efficient formats and capital-conscious partnerships.
• Innovate with purpose – use menu engineering, digital insight and new dining
occasions to keep our brands relevant to emerging consumer cohorts.
• Strengthen people and culture – develop leaders, deepen frontline capability and
build an inclusive organisation where craft and performance thrive together.
• Grow responsibly – pursue efficiency in energy, sourcing and packaging while
maintaining rigorous governance and financial prudence.
Indian consumers are exploring more cuisines, more occasions and more formats than
ever before. Regional Indian traditions are being rediscovered even as global flavours
enter the mainstream; health and indulgence coexist; and digital discovery increasingly
