The meeting was conducted in accordance with the provisions of the Companies Act, 2013, and Rules made thereunder and Securities and Exchange Board of India (“SEBI”) (Listing Obligations and Disclosure Requirements) Regulations, 2015 (“SEBI Listing Regulations, 2015”) and as per the relevant Circulars issued by the Ministry of Corporate Affairs (“MCA”) and SEBI, from time to time and venue of the 75th AGM was deemed to be at the Registered Office of the Company situated at 7th Floor, Eleven West Panchshil, Survey No. 25, Near PAN Card Club Road, Baner, Pune – 411 069, Maharashtra, India. Mr. Ashish Vij Whole-Time Director Pune Mr. Rajesh Rathi, Chairman and Managing Director of the Company, chaired the Meeting and after ascertaining the quorum, called the Meeting to order at 4:00 p.m. (IST). Sudarshan Chemical Industries Limited Registered Office: 7th Floor, Eleven West Panchshil, Survey No 25, Near PAN Card Club Road, Baner, Pune 411 069, Maharashtra, India T: +91 20 6828 1200 | E: shares@sudarshan.com | www.sudarshan.com | CIN: L24119PN1951PLC008409 The Chairman introduced the Directors present by VC/OAVM and also confirmed the presence of Mrs. Sudha Navandar, Chairperson of the Audit Committee, Mrs. Anu Wakhlu, Chairperson of Nomination and Remuneration Committee and Corporate Social Responsibility Committee, Ms. Bhumika Batra, Chairperson of Stakeholders’ Relationship Committee, Mr. Apurva Chandra, Chairperson of Risk Management Committee and Mr. Nilkanth Natu, Chief Financial Officer, Mr. Mandar Velankar, General Counsel and Company Secretary, Representatives of M/s. S R B C & CO LLP, Statutory Auditors, Representatives of Mr. Jayavant Bhave, Secretarial Auditor and Mrs. Ashwini Kedar Joshi, Cost Auditor. Total 43 (Forty-Three) members were present at the AGM through VC/OAVM facility and webcast facility provided by National Securities Depository Limited (“NSDL”). Mr. Rajesh Rathi, Chairman and Managing Director, made a presentation on the performance of the Company during the Financial Year 2025-26 which inter-alia included Key Business highlights, Financial Performance of the Company, an update on integration, etc. It was informed that the Report of Board of Directors, the Statement of Stand-alone and Consolidated Financial Statements for the Financial Year ended 31st March, 2026 and Statutory Auditors’ report thereon, and Notice convening the 75th AGM were already circulated to the Members and hence were taken as read and that the Company had provided facility to cast their votes electronically on all resolutions set forth in the Notice. Members who were present at the Meeting and had not cast their votes electronically were provided an opportunity to cast their votes at the end of the meeting through e-voting. It was further informed that there would be no voting by show of hands. It was further informed that the Statutory Auditor’s Report on the Standalone and Consolidated Financial Statements of the Company and Secretarial Auditor’s Report did not contain any qualification, observation or adverse remark. It was also mentioned that the Director’s Report, the Statement of Standalone and Consolidated Financial Statements for the Financial Year ended 31st March, 2026, and Notice convening the 75th AGM were already circulated to the Members and hence were taken as read. It was also explained that – a) the Statutory Registers as required by the provisions of the Companies Act, 2013, and Rules made thereunder, b) Certificate from the Secretarial Auditors of the Company certifying that Employee Stock Options Plan and Scheme and Stock Appreciation Rights Plan and Scheme was being implemented in accordance with SEBI (Share Based Employee Benefits and Sweat Equity) Regulations, 2021, and (c) other relevant documents as referred to in the Notice convening the 75th AGM were available for inspection electronically. (Ordinary Resolution) 2. Declaration of Final Dividend of ₹5.00/- per Equity Share having face value of ₹2.00/- each (250%) for the Financial Year ended 31st March, 2026. (Ordinary Resolution) 3. Appointment of Mr. Amitabha Mukhopadhyay, Non-Executive and Non-Independent Director (DIN: 01806781), who retires by rotation and being eligible, offers himself for re-appointment. Ratification for payment of remuneration to Mrs. Ashwini Kedar Joshi, Cost Auditor (Sole Proprietor) (Registration No.: 102387) for the Financial Year 2026-27 to conduct Audit of Cost Records of the Company.
