Dear Sir/ Madam,
Pursuant to Regulations 30 read with Part A of Schedule III of the SEBI (Listing Obligations and Disclosure Requirements) Regulations,
2015, (“Listing Regulation”) we are enclosing the Notice of Extra-Ordinary General Meeting (“EGM”) along with the Explanatory Statement
of the Company scheduled to be held on Wednesday, September 09, 2026, at 2:00 PM.
Further, in terms of the Section 108 of the Companies Act, 2013 read with Rule 20 of the Companies (Management and Administration)
Rules, 2014, as amended from time to time, Regulation 44 of the Listing Regulations, and in terms of Circulars issued by SEBI, the Company
has fixed Wednesday, September 02, 2026 as the cut-off date to determine the eligibility of the members to cast their vote by remote e-Voting.
The remote e-voting period shall commence from Sunday, September 06, 2026, at 09:00 AM and will end on Tuesday, September 08, 2026,
at 05:00 PM.

Notice of Extra-Ordinary General Meeting
Notice is hereby given that the Extra-Ordinary General Meeting (‘EGM’) of the Members of ACI Infocom Limited (“Company”) will be
held on Wednesday, September 09, 2026, at 2:00 PM through VC/OAVM, to transact the businesses as mentioned below:
The proceedings of the EGM shall be deemed to be conducted at the Registered Office of the Company at Office No. 512, 5th Floor, Hubtown
Solaris, N.S. Phadke Road, Saiwadi, Near Flyover Bridge, Andheri East, Mumbai, Maharashtra, India – 400069, which shall be the deemed
venue of the EGM.
SPECIAL BUSINESS:
Item No. 1. Alteration of Objects of the Company along with adoption of new set of Memorandum of Association of the Company
in accordance with Companies Act, 2013.
To consider and, if thought fit, to pass, with or without modification(s), the following resolution as a Special Resolution:
“RESOLVED THAT pursuant to the provisions of Sections 4, 13 and other applicable provisions of the Companies Act, 2013 read with the
Companies (Incorporation) Rules, 2014 (including any statutory modification(s) or re-enactment thereof for the time being in force), and
subject to the approval of the Registrar of Companies and such other approvals as may be necessary, the consent of the Members of the
Company be and is hereby accorded for adoption of a new set of Memorandum of Association (MOA) of the Company, aligned with the
format prescribed under the Companies Act, 2013, in substitution of and to the complete exclusion of the existing Memorandum of
Association.
RESOLVED FURTHER THAT pursuant to the provisions of Section 13 and other applicable provisions of the Companies Act, 2013, read
with the Companies (Incorporation) Rules, 2014, and subject to approval as may be required, the Objects clause of the Company in the
Memorandum of Association of the Company be and is hereby altered by substituting the existing Clause III (A) (Objects Clause) with
the following:
“A. The objects to be pursued by the Company on its incorporation are:
1. To carry on the business of aviation and airline services in all their branches and aspects, including establishing, operating, managing,
maintaining, chartering, leasing, purchasing, selling and providing scheduled and non-scheduled air transport services for passengers,
cargo, mail, freight, logistics and allied services by means of aircraft, helicopters, seaplanes and other manned or unmanned airborne
vehicles, whether owned, leased, chartered or otherwise acquired, within India and abroad, for civil, commercial, governmental, defence,
security or emergency services, and to own, operate and provide services using drones, unmanned aerial vehicles (UAVs), remotely piloted
aircraft systems (RPAS) and other unmanned aerial platforms, subject to applicable laws and obtaining all requisite licences, permissions,
approvals and regulatory authorisations from the competent authorities.
2. To establish, promote, operate, manage and maintain aviation academies, flying training organisations, aviation training institutes,
aircraft maintenance training organisations, remote pilot training organisations, aviation skill development centres and other educational
or training institutions for imparting education, training, coaching, assessment, examinations, certification wherever authorised by the
competent authority, consultancy and capacity building in the fields of aviation, aeronautics, aerospace, airport operations and
management, flight operations, pilot training, cabin crew training, aircraft maintenance engineering, ground handling, air traffic
management, aviation safety, aviation security and other allied aviation-related disciplines.
3. To establish, develop, construct, acquire, lease, operate, manage and maintain airports, aerodromes, heliports, helipads, hangars,
maintenance, repair and overhaul (MRO) facilities, aircraft maintenance facilities, cargo terminals, aviation parks, aviation infrastructure
and allied facilities and to provide aviation consultancy, fleet management, aircraft management, aviation recruitment and placement,
manpower services, aviation technology solutions, software, simulators, digital platforms, research and development, engineering support
and other aviation support services within India and abroad, subject to applicable laws.

4. To undertake, promote, establish and carry out research, design, development, engineering, testing, validation, qualification, certification
processes, prototyping, manufacturing, fabrication, assembly, integration, customization, modernization, maintenance, repair, overhaul,
import, export, commercialization and supply of aircraft, helicopters, rotorcraft, drones, unmanned aerial vehicles (UAVs), remotely
piloted aircraft systems (RPAS), electric vertical take-off and landing (eVTOL) aircraft, air taxis, advanced air mobility solutions,
aerospace systems, avionics, propulsion systems, navigation systems, communication systems, flight control systems, simulation systems,
autonomous technologies and other aviation and aerospace products and technologies, either independently or in collaboration with
domestic or international entities, governments, institutions, universities, research organisations and technology partners, and to acquire,
develop, register, own, license, sublicense, transfer, commercialise and otherwise deal in patents, trademarks, copyrights, know-how,
technical information, software and other intellectual property rights relating thereto.
5. To undertake research, design, development, engineering, testing, manufacturing, fabrication, assembly, integration, modernization,
maintenance, repair, overhaul, import, export, purchase, sale, distribution and commercialization of defence equipment, defence systems,
military aircraft, helicopters, unmanned systems, surveillance systems, communication systems, avionics, electronic systems, sensors,
propulsion systems, aerospace systems, defence technologies, simulation systems, security e
