Taken on record the Valuation Report determining the price for the proposed preferential issue. 3. To determine and approve the issue price for the proposed preferential issue of 16,02,870 (Sixteen Lakh two Thousand eight Hundred and seventy only) revised equity shares of the Company, based on the valuation report obtained from the Registered Valuer, having regard to the relevant date, i.e. August 14, 2026. 4. Taken on record the certificate issued by the Practicing Company Secretary (PCS) confirming compliance with the applicable provisions of the SEBI (Issue of Capital and Disclosure Requirements) Regulations, 2018, as amended, and the Companies Act, 2013, in respect of the proposed preferential issue. 5, Taken on record the certificate issued by the Statutory Auditor of the Company in respect of the proposed preferential issue. 6. Considered and approved the convening of the 16th Annual General Meeting of the Company on Monday, September 14, 2026, through Video Conferencing/Other Audio-Visual Means, and to approve the Notice of the Annual General Meeting, together with the Explanatory Statement annexed thereto.
