It comprises the Standalone as well as the Consolidated financial statement for the year ended 31st March 2026. During the financial year ended 31st March 2026, your Company has reported Standalone Net Profit of Rs. 5,004.77 million, an increase of more than 25% over the previous financial year. This growth has been driven by better cargo mix and continued growth in Dry Bulk, Liquid and RoRo businesses. While the Red Sea challenges continued, another crisis erupted in the West Asia region resulting into blockage of the Strait of Hormuz. Pipavav Port continues to be impacted with unreliable sailing schedules and skip calls resulting into loss of market share in Containers. The de-growth in Containers has been partially offset by the growth in other businesses leading to over 25% year on year increase in the company’s profits for the financial year ended 31st March 2026. The Board of Directors has approved the payment of Interim Dividend of Rs. 5.40 per share in November 2025 and is pleased to recommend an additional amount of Rs. 5.00 per share by way of Final Dividend for approval by the Members at the upcoming Annual General Meeting (AGM). The cumulative Dividend Payout of Rs. 10.40 per share aggregating to Rs. 5,027.77 million for the financial year 2025-26, is the highest ever dividend payment by the Company in a financial year. In view of the headwinds being faced in Container business, the Company has been taking various initiatives to grow the port. Those initiatives coupled with cost control measures have resulted into the highest increase in Net Profit for the Company and consequently the highest dividend payout to its shareholders. In an endeavour to diversify cargo flow at Pipavav Port, during the year the Company entered into an agreement with ONGC. Under the arrangement ONGC has taken land on lease inside Pipavav Port premises for setting up its offshore supply base for oil exploration activities in the region. With the exploration activities moving north of Mumbai coastline, this is ONGC’s second base on West Coast of India, after the first offshore supply base at Nhava Sheva. In order to augment the capacity for handling liquid cargo, the construction of new liquid berth involving the capital expenditure of USD 90 million is progressing well. The berth is likely to be commissioned by December 2026. Once commissioned the liquid cargo handling capacity shall increase from existing 2 million MT to 5.2 million MT. The closure of the Strait of Hormuz has started impacting the Fertiliser imports and LPG imports into India. The imports for these traditionally have been from the Middle East but with these disruptions, the country is looking at other alternatives to secure its energy and agriculture requirements. As the company gets closer to its current tenure of the Concession Agreement, the engagement with stakeholders continues to seek clarity on the Policy for extension of the Concession. The policy document shall provide clarity on the way forward for future growth of the port. Considering the renewed focus on manufacturing in India through various PLI schemes, the country needs modern port infrastructure providing efficient and world class operations and the Company is committed to it. Safety is our License to operate the port and a clear top-down message on these front aims at consistent efforts to improve awareness for safe operations amongst all stakeholders operating inside the port premises. The Management Team has a clear focus without any compromise to perform Safety Gemba regularly and to propagate the importance of safe operations by identifying the improvement areas. Keeping the safety aspect on top, the Company’s focus continues towards providing efficient port operations. The Container Port Performance Index Report for the year 2025 released by the World Bank along with S&P Global Market Intelligence has rated Pipavav Port amongst the top Indian ports, second only to Nhava Sheva and ranked 28th globally. This recognition is testimony to the consistent efforts of the team on the ground yearning for improvement and provide value to its customers. The Company continues to identify areas for sustainable development in its efforts to make Pipavav “Gujarat’s Green Gateway”. This is another area involving long- term investments in modern equipment upon receiving clarity on Concession extension. Meanwhile, the company’s 80% power requirement is being met through green energy. As part of CSR initiatives, the Company has sponsored setting up of a Trauma Centre in a Hospital in Rajula, the nearest town from Pipavav Port. In its first month of commissioning, the centre has attended over 250 cases of cardiac arrest, paralytic attacks etc. Apart from providing support to the local community in the areas of Healthcare and Education, the Company has also been focused on Skill Development. The Skill Development Centre set up at Rajula has trained over 2000 girls in their chosen area of profession till date. The Centre has been going strength to strength purely on witnessing the success stories emanating from the local community. The Company has been certified as Great Place to Work for Eighth consecutive year by the Trust Index Employee Survey. It is a reflection of the prevailing work culture in the Company.
