Subject : Update to our earlier disclosure dated 15th May 2026 under Regulation 30 read with Schedule III of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015. With reference to the captioned subject, we wish to inform you that pursuant to the asset transfer agreement dated 14th May 2026 (“Asset Transfer Agreement”) entered into amongst TVS Motor (Singapore) Pte. Ltd (“TVSM Singapore”), a wholly owned subsidiary of the Company, TVS EBike Company AG (“TVS EBike”), a step-down wholly owned subsidiary of the Company, and Callista Asset Management 33 GmbH (or its affiliates) (“Callista AMG”), TVS EBike has on 2nd July 2026, completed the transfer of the identified assets and liabilities to Callista AMG, in accordance with the terms of the Asset Transfer Agreement and the details mentioned in our disclosure dated 15th May 2026. We further wish to clarify that, pursuant to the abovementioned Asset Transfer Agreement, there has been no change in the shareholding of TVS Singapore in TVS EBike. Accordingly, TVS EBike continues to remain as a wholly owned subsidiary of TVSM Singapore and consequently, a step down wholly owned subsidiary of the Company as well. This may kindly be treated as a material development on the earlier disclosure dated 15th May 2026 under Regulation 30 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015.
