In continuation of our earlier communication dated 1st August, 2026, the Board of Directors of the
Company met today i.e14th August, 2026interalia considered and approved the following: -
1. Considered and approved the Un-Audited Results of both the Standalone and Consolidated results
of the Company for the Quarter ended on 30thJune 2026 under Regulation 33 of SEBI Listing
Regulations 2015 (LODR).
Please find enclosed herewith un-Audited Results of both the Standalone and Consolidated results
of the Company for the Quarter ended on 30th June 2026.
Please also find attached declaration pursuant to regulation 33 (3) (d) of the SEBI (LODR)
Regulations, 2015, Limited Review report with unmodified/unqualified opinion.
2. Considered and approved the payment of remuneration of Rs. 5,00,000/- (Rupees Five Lakhs only)
per month on a Cost-to-Company (CTC) basis to Mr. Ashok Kumar Singh, Chief Executive Officer
(CEO) and Chairman of the Company, with effective date from April 1, 2026, subject to the
approval of shareholders in the ensuing Annual General Meeting and in accordance with the
provisions of Section 196, 197 read with Schedule V of the Companies Act, 2013, and applicable
SEBI guidelines.
The meeting commenced at around 8.45 PM and ended around 9.30 PM.

We have reviewed the accompanying statement of Standalone unaudited financial results of MRC Agrotech
Limited for the quarter ended on 30th June, 2026 and for the year-to-date period from 01st April, 2026 to 30th June,
2026 attached herewith being submitted by the Company pursuant to the requirement of regulation 33 of the SEBI
(Listing obligation and Disclosure Requirements) Regulations, 2015, as amended (the “Listing Regulations”).
The preparation of the statement is the responsibility of the Company’s Management and has been approved by the
Board of Directors, has been prepared in accordance with the recognition and measurement principles laid down in
Indian Accounting Standard 34 “Interim Financial Reporting” (Ind AS – 34), as prescribed under section 133 of the
companies Act, 2013 as amended, read with relevant rules issued thereunder and other accounting principles
generally accepted in India. Our responsibility is to issue a report on these financial statements based on our review.
We conducted our review in accordance with the Standard on Review Engagement (SRE) 2410, “Review of interim
Financial Information Performed by the independent auditor of the Entity” issued by the Institute of Chartered
Accountants of India. This standard requires that we plan and perform the review to obtain moderate assurance as to
whether the financial statements are free of material misstatement. A review of interim financial information consists
of making inquiries, primarily of persons responsible for financial and accounting matters, and applying analytical
and other review procedures. A review is substantially less in scope than an audit conducted in accordance with
Standards on Auditing specified under section 143 (10) of companies Act, 2013 and consequently does not enable us
to obtain assurance that we would become aware of all significant matters that might be identified in an audit.
Accordingly, we do not express an audit opinion.
With respect to the standalone Financial Results for the quarter ended on 30th June, 2026 and for the year to date
period from 01st April, 2026 to 30th June, 2026, based on our review conducted, nothing has come to our attention
that causes us to believe that the standalone Financial Results for the quarter ended 30th June, 2026, not prepared in
accordance with the recognition and measurement principles laid down in the accounting standards and other

accounting principles generally accepted in India, has not disclosed the information required to be disclosed in terms
of Regulation 33 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, as amended,
including the manner in which it is to be disclosed, or that it may contains any material misstatement.
Emphasis of Matter
1. We draw attention to Note (e) to the Statement, which describes the Company's transition to Indian
Accounting Standards ("Ind AS"). The corresponding comparative financial information presented
in the Statement has been restated by the Management in accordance with the applicable
requirements of Ind AS, including Ind AS 101, "First-time Adoption of Indian Accounting
Standards". Our conclusion is not modified in respect of this matter.
