(“Company”) at its meeting held today i.e. Friday, August 14, 2026, inter-alia considered and approved the Unaudited (Standalone and Consolidated) Financial Results of the Company for the Quarter ended June 30, 2026 (“the Results”) along with the Limited Review Report thereon issued by M/s. S A R A & Associates, Chartered Accountants, the Statutory Auditors of the Company. The Statutory auditors have issued an unmodified opinion on the Results. Further, the Board of Directors at its meeting also decided the following: 1. The 51st Annual General Meeting (“AGM”) of the Members of the Company will be held on Wednesday, September 23, 2026, through Two-way Video Conferencing (‘VC’)/ Other Audio-Visual Means (‘OAVM’) in accordance with the applicable circulars issued by the Ministry of Corporate Affairs and the Listing Regulations. The Notice of AGM, Board’s Report and the Annual Report for the Financial Year 2025-26 shall be sent to the Members in due course within the statutory time limits. 2. Pursuant to Regulation 42 of the Listing Regulations, the Board has fixed Friday, September 11, 2026, as the Record Date for the purpose of determining the Members eligible to receive Final Dividend for the financial year ended March 31, 2026, if approved by the members at the 51st AGM. 3. The Board has fixed Wednesday, September 16, 2026, as the Cut-off Date for the purpose of determining the Members eligible to vote on the resolutions set out in the Notice of the AGM through remote e-voting, as well as voting during the 51st AGM. The meeting of the Board of Directors of the Company commenced at 5:00 P.M. (IST) and concluded at 05.50 P.M. (IST).
