Unaudited Standalone & Consolidated Financial Results of the Company for quarter ended on June 30, 2026 along with the auditors' limited review reports on standalone and consolidated quarterly financial results, issued by M/s. Ladha Singhal & Associates Statutory Auditors of the Company, enclosed herewith as Annexure-I. 2. Draft Scheme of Arrangement under Sections 230 to 232 and other applicable provisions of the Companies Act 2013, for Arrangement between Jupiter Infomedia Limited (“Holding Company”) and Jineshvar Securities Private Limited (“Subsidiary Company”) for the purpose of proportionate distribution of equity shares of the Subsidiary Company to the shareholders of the Company as on the Record Date. Information as required under Regulation 30 are enclosed herewith as Annexure-II. 3. The Board considered and discussed the proposal for incorporation of a Wholly Owned Subsidiary in the United Arab Emirates (“UAE”), under the name of Arix Metals Trading FZCO (the “Free Zone Company”) on such terms and conditions as may be deemed appropriate, including the proposed structure, capital contribution, business activities and other matters connected therewith or incidental thereto.
